Job Description:

The Legal Counsel with Volaris Group Inc., a subsidiary of Constellation Software Inc., will be responsible for providing legal advice and assistance to the Volaris Portfolio of companies, with a head office in Mississauga, Ontario.   Reporting to the Assistant General Counsel, you will support the legal team at Volaris head office, helping our fast growing vertical market software companies.  This role requires a lawyer with strong business acumen who can work independently and juggle multiple priorities in a fast moving and often shifting work environment.  The successful candidate will be part of a team of lawyers for this portfolio of companies and will join a growing and diverse international legal team.

Responsibilities:

  • Assistance on M&A transactions, including due diligence, drafting purchase agreements, and assisting with closing of transactions

  • Negotiating and drafting contracts from company templates or customer paper (NDAs, software license agreements, SaaS agreements, professional service agreements, supplier contracts, distribution agreements, etc.)

  • Working closely with head office stakeholders on the finance, tax, and HR teams to support reorganizations and other corporate matters

  • Enforcing corporate policies and ensuring that all contracts meet corporate risk standards

  • Overall contract administration – ensuring that all contracts are suitably recorded and that all documentation is properly stored

  • Working closely with other members of the group legal team and managing external counsel on other as needed

  • Anticipating, guarding against, and advising on legal risks involving the companies under your portfolio

  • Communicating verbally and in writing with all levels of organization (internally and with customers and suppliers)

Qualifications & Skills:

  • The successful candidate is required to hold a law degree and is currently licensed to practice law in at least one province within Canada

  • Candidates should have experience in negotiating NDAs, IP/IT software licensing contracts, SaaS, professional services agreements, and purchase agreements

  • 2 to 5 years of relevant experience at a law firm or in-house legal department

  • General knowledge of privacy laws (and HIPAA compliance in particular) is a plus

  • Willingness to travel to other office locations and for client site visits

  • Proficient with Microsoft Office tools
