What You'll Do:

Fully integrated within the Criteo Corporate Legal Team, the Corporate Counsel will support the group’s overall corporate legal strategy. As such, the Corporate Counsel will provide efficient corporate law advice to management, colleagues on the Finance Team, the People Team, and the various teams of the company’s international operations. Based in Luxembourg, the Corporate Counsel will work closely with the Corporate Legal Team members in Paris and in New York, under the direction of the Associate General Counsel, Head of Corporate Legal. 

 

This role represents a great opportunity for a lawyer seeking a challenge that combines technical legal knowledge with practical experience, interacting with business clients in a demanding, international and fast-paced international environment. The main responsibilities are focused around four points: 

 

General Corporate  

·                 Support the various corporate teams and business clients in their day-to-day requests. 

·                 Engage, direct and supervise outside counsel, including management of fee structure and internal billing administration. 

 

Corporate Governance, M&A and Equity  

·                 Assist the Associate General Counsel, the SVP Head of Legal and Assistance Corporate Secretary and the Chief Legal and Transformation Officer on all corporate governance matters, including the preparation and distribution of materials for the Company’s Board and Committee meetings, as well as the annual shareholders meeting. 

·                 Support the Corporate Development team on M&A, investment, and other strategic transactions and other Criteo functions on internal projects (specifically restructurings). 

·                 Provide legal support to the Compensation & Benefit Team on equity and executive compensation matters. 

 

Legal update 

·                 Legal researches  

·                 Update the Team on a regular basis on the legislative landscape in Luxembourg 

 

Reporting 

Associate General Counsel, Head of Corporate Legal 

 

Who You Are:

In terms of professional requirements and experience, you should be a: 

·                 Qualified lawyer in any European jurisdiction with 2+ years of relevant post qualification experience in Luxembourg corporate law, you will have a strong understanding of corporate legal experience providing legal counsel on corporate, regulatory and operational issues.  

·                 Strong experience providing guidance on Luxembourg corporate governance matters preferred. 

·                 Experience in (US) Securities Law would be a plus. 

·                 Proficiency in English with the ability to draft and negotiate documents in English. 

·                 Full time / part-time (at least [3 days] per week).  

 

 

Key to Success: 

·                 Fluent in English, French is a plus. 

·                 Excellent interpersonal skills, sense of humour and positive, team-oriented attitude. 

·                 Ability to provide advice, with appropriate business and legal judgment; ability to seek guidance within the Legal Team to provide best services to clients. 

·                 Excellent oral and written communication skills with ability to effectively communicate with all levels of clients within the company. 

·                 Hard-working, self-driven, problem-solving and well-organized. 

·                 Flexible, with initiative and ability to work on a broad variety of legal matters concurrently under deadline pressures. 

·                 Professional and dedicated to teams objectives and client service.
