Scope and Responsibilities
Based in Hong Kong, the individual will have responsibility for legal and regulatory matters impacting Oaktree’s business activities across the APAC region, with primary lead coverage of China.
Responsibilities will include:
- Advising Oaktree’s Corporate, Capital Formation and Investment teams with respect to Oaktree’s business and operational activities in the APAC region, including advising on (i) corporate structuring, governance, employment, regulatory filings/registrations and drafting of constitutional and other related documents, and (ii) fund investment structures, fund registrations and drafting and negotiating distribution, offering, constitutional and other related documents.
- Managing Oaktree’s QDLP business in China; act as lead advisor to members of the QDLP team, including Capital Formation (in HK, Shanghai and Beijing), Compliance and Fund Accounting; act as primary legal contact to external parties, including PRC-based asset managers, distributors, custodians and administrators.
- Coordinating with Oaktree’s Compliance team in relation to Oaktree’s business and operational activities across the APAC region, including regulatory obligations relating to licenses, permissions, memberships and authorizations.
- Drafting and negotiating commercial contracts, managing intellectual property matters (including contentious matters), handling litigation/disputes and advising on various other general corporate and commercial matters.
- Liaising and coordinating with regulators and government authorities on ongoing business and operational activities, and assisting with establishing/maintaining/liquidating Oaktree’s APAC entities, as needed.
- Providing guidance, conducting research and monitoring new requirements on APAC matters, including regulatory issues, licensing matters, conflict management, offering and marketing rules, regulatory inspections, inquiries and investigations, trading activities, anti-bribery, data privacy, cybersecurity and anti-money laundering.
- Working closely with members of the Legal, Compliance, HR, Accounting, Tax and other departments in Los Angeles, London and APAC to coordinate various responsibilities.
- Coordinating, managing and working with various external advisers.
- Performing other tasks and projects as necessary.
Experience Required
- 4-8 years legal experience with a law firm and/or within the financial services/asset management industry.
- Knowledge of APAC regulatory regimes, including offering, licensing and regulatory reporting requirements.
- Experience and working knowledge of QDLP, QFLP, QDII, QFII and/or WFOE PFM and AMAC;
- Familiarity and ability to review, draft and negotiate contracts (in English and Chinese), including commercial agreements, as well as corporate and fund documents.
- Proven capability in analyzing complex data, evaluating information and drawing logical conclusions and demonstrated ability to identify key issues;
- Track record in planning and project management and in maintaining composure under pressure while meeting deadlines.
- Exceptional drafting and communication skills in Mandarin / Simplified Chinese is mandatory.

Education
- A Bachelor’s degree is required.
- Law degree or qualifications, such as JD or an equivalent law degree is required.
