Orion Steel is seeking an experienced Director, Legal Operations and Senior Corporate Paralegal to join their North American team. This position is a strategic leader and integral partner to the Chief Legal Officer, driving operational excellence, legal innovation, and organizational efficiency across the legal department. This hybrid role blends high-level legal operations management with deep corporate governance expertise, serving as a trusted advisor and cross-functional collaborator to ensure alignment between legal strategy and business objectives.
- Lead the design and implementation of scalable legal processes that improve efficiency, reduce risk, and align with enterprise-wide initiatives
- Own the legal technology roadmap, including selecting, implementing, and optimizing platforms (e.g., matter management, e-discovery, service of process, knowledge management)
- Oversee legal department budgeting, forecasting, accruals, and cost control strategies. Analyze spend trends and ROI of outside counsel and vendors
- Establish and manage a robust framework for external counsel and legal service provider relationships, including performance metrics, billing compliance, and rate negotiations
- Oversee domestic and international entity management, ensuring corporate compliance, accurate maintenance of records, and alignment with global governance protocols
- Lead contract drafting, negotiation, and lifecycle management across various agreements, including NDAs, vendor/supplier contracts, and other corporate documents
- Manage litigation support efforts, including coordination with outside counsel, discovery processes, and internal document review
- Support mergers, acquisitions, and other strategic transactions through comprehensive due diligence, data room management, and document preparation
- Partner with CLO to develop and execute strategic priorities for the legal department, ensuring alignment with corporate goals
- Prepare and maintain high-quality board and committee materials, corporate resolutions, and minutes. Serve as a liaison to board members and senior leadership
Requirements
- Minimum of Associate’s Degree in Legal Studies, Business Administration, or a related field and
- 10+ years of progressive legal experience, including substantial time in corporate legal departments and direct legal operations leadership
- Deep knowledge of corporate governance and an understanding of commercial law, regulatory compliance, and legal risk management
- Advanced familiarity with legal operations technologies (e.g., e-billing, litigation management, entity management systems)
- Proven ability to communicate complex legal and operational concepts to executive stakeholders and cross-functional teams
- Ability to lead through influence, manage ambiguity, and drive transformation in a dynamic environment
- Demonstrated success leading large-scale projects with multiple workstreams, timelines, and stakeholders
- High level of integrity and professional judgment in managing sensitive matters and confidential information
- Demonstrated impact on legal operations in a fast-paced, global organization
