Position Overview

The Paralegal will provide legal and corporate governance support for publicly traded and non-traded vehicles managed or sponsored by Apollo.
Primary Responsibilities
Interface with board members of a public company; develop relationships and serve as trusted point of contact
Organize and prepare agendas/materials for board and committee meetings
Attend board meetings and draft resolutions/minutes; attend other committee meetings and assist in governance matters
Assist in preparation of SEC filings under the Securities Exchange Act, including 10Q, 10K, 8K, SC-TO, Section 16 filings, and the Investment Company Act of 1940, including N-CEN, N-CSR, N-2, etc.
Assist in the preparation and review of D&O questionnaires
Coordinate NYSE and NASDAQ filings and communication
Coordinate annual shareholder meeting and proxy voting process
Coordinate transfer agent instructions and communication related to equity plan administration and indenture compliance
Coordinate responses to diligence requests in connection with offerings
Maintain calendar of events and filings
Prepare equity award agreements and maintain records of equity awards granted
Assist with entity formation and life cycle management, KYC requests and preparation and maintenance of structure charts
Assist with local process agent and licensing filings and communications
Prepare and maintain other corporate records
Assist in administering Sarbanes Oxley controls and compliance
Assist in insurance program management
Provide advice and support for Apollo’s direct lending platform, which includes registered investment companies, business development companies and other permanent capital vehicles
Manage internal and external processes related to compliance with the firm’s co-investment exemptive order and related board and governance matters
Assist with annual compliance testing, including conducting in-person and remote office reviews of major service providers
Perform general legal research
Qualifications & Experience
1-2 years of experience supporting corporate legal & governance matters;
Superior collaboration/interpersonal skills; builds and maintains strong relationships/credibility with relevant stakeholders
Ability to anticipate and accommodate the ongoing needs of board members and provide “high touch” client service
Highly organized and proactive; able to manage multiple priorities and meet multiple deadlines
Possesses professional integrity; displays discretion, tact, and ability to maintain confidentiality
Excellent written and verbal communication skills
Team player, with ability to work independently
Well-developed sense of ownership and accountability
Strong work ethic with a hands-on approach to projects/tasks
Excels in a rigorous and fast-paced team-oriented work environment

Pay Range
85,000 - 100,000The base salary range for this position is listed above. This position is also eligible for a discretionary annual bonus based on personal, team, and Firm performance. Compensation ranges are based on several factors including job function, level, and geographic location. Final offer amounts are determined by multiple factors including candidate experience and expertise, and may vary from the amounts listed here.
