Job Description Summary:

The Contracts Manager will primarily focus on drafting and negotiating software licensing agreements in support of the Rocket sales organization, reporting to the EMEA Commercial Legal Lead. This role requires an individual capable of working autonomously within established frameworks and approaches, with minimal guidance, while managing multiple complex approval processes and contract negotiations across various stages of the sales cycle. The ideal candidate will uphold the highest standards, demonstrate a strong bias for action to drive deal velocity, and exercise sound judgment and independent decision-making in often ambiguous situations. They must also be able to take full ownership of the approval and contract management process.

Essential Duties and Responsibilities:

  • Manage the entire contract negotiation process - from initial request and review through negotiation and execution. Ensure adherence to company policies, procedures, and legal requirements throughout the negotiation process. 

  • Review, redline, analyze, and negotiate a wide range of software-related contracts, including software licensing agreements, partner agreements, master service agreements, and NDAs. 

  • Work effectively on customer-related assignments, transfers, and outsourcing activities. 

  • Risk Assessment: Identify and assess potential risks associated with contractual terms, ensuring that contract terms are fair, reasonable, and aligned with the company's risk appetite. 

  • Develop a thorough understanding of Rocket’s business, products, markets, customers and partners in order to identify trends and formulate effective compliance strategies. 

  • Collaborate with legal colleagues when interpretation or guidance is needed. 

  • Partner effectively with cross functional teams, including Sales Operations, Sales, Procurement, and Finance.  

  • Provide ongoing support to internal teams on legal related matters. 

  • Maintain accurate contract records and documentation. 

  • Uses contract management software and MS Office tools efficiently to support contract workflows and documentation.  

  • Demonstrates diplomacy, approachability, and good business and personal judgment. 

  • Able to balance priorities and support multiple stakeholders in a fast-paced environment 

  • Demonstrate integrity and professionalism in all interactions. 

  • Possesses excellent organizational skills, including the ability to manage multiple projects at once, follow through, and meet deadlines. 

Required Qualifications:

  • 3-5 years of experience with technology sales, licensing and procurement transactions and related distributor, reseller, cloud computing, and software product and services agreements. 

  • A university-level bachelor’s degree in Business, Law, Economics, Management, or another related field. 

  • Fluent in English and one additional European language, preferably German 

  • Strong understanding of software contracts, licensing models, and service agreements. 

  • Familiarity with software industry regulations, compliance requirements, and best practices. 

  • Exceptional negotiation, communication, and interpersonal skills. 

  • Detail-oriented with the ability to analyze complex contractual documents and legal language. 

  • Proven ability to manage multiple contracts simultaneously and meet deadlines. 

  • Ambitious, commercially astute and self-motivated. 

  • Experience working with Salesforce, Jira, DocuSign/CLM is preferred.

The base salary range for this role is €31,000.00 - €52,700.00 /year. Exact compensation may vary based on skills, experience, and location.

Salary offer for the candidate is determined based on the predefined salary ranges for the position and depends on the level of competence and experience of the candidate.
