Job Description

What is the opportunity?

This role supports the Corporate Secretary’s Department as a key member of the Law Group’s Board Team, providing advice, counsel and support on a variety of corporate governance, securities and other legal matters. The Senior Counsel and Assistant Secretary guards the Bank’s legal interest and maintains its operations within the scope established by law and applies experience and seasoned knowledge, skills, and practices to perform a variety of assignments.

What will you do?

  • Support a variety of corporate governance initiatives as a key member of the Law Group’s Board team, which assists the Board of Directors and the Committees of the Board of Directors, with a focus on the Governance Committee
  • Identify and analyze legal issues, draft key documents, present clear recommendations, and assure legal compliance
  • Advise the Board and senior management on a broad range of legal and regulatory matters, including more specifically corporate governance, banking corporate law, business law, securities law, including continuous disclosure and environmental, social and governance (ESG) disclosure
  • Assist in the development of Board and Committee materials and provide logistical and operational support during Board and Committee meeting cycles
  • Assist in the preparation and distribution of the management proxy circular, including managing timelines, recommending content, providing legal review and preparing submissions to management committees and the Board and its Committees as appropriate
  • Assist in the oversight and management of the annual shareholder meeting, including support in coordination and preparation of materials for the Board and members of management and coordination with relevant stakeholders
  • Support ongoing stakeholder engagement activities, including responding to shareholder proposals submitted prior to annual meetings

What do you need to succeed?

  • 5+ years of business law experience at a law firm, a financial institution, a large corporation or a regulator, ideally in corporate law, securities law and/or corporate governance
  • An LLB degree and called to the Bar of a Canadian province, with membership in an applicable law society or bar association
  • Ability to leverage your professional experience, expertise, judgment, industry and regulatory knowledge to perform a broad range of assignments
  • Ability to work effectively and collaboratively in diverse teams, lead work streams and manage multiple, competing priorities in a fast-paced environment
  • Solutions-oriented, with sound judgement and a client focus
  • Very strong high impact writing and communication skills and an ability to work to very tight timelines

Nice-to-have

  • Knowledge of financial institutions regulatory environment
  • Environmental, social and governance (ESG) experience
  • Project management experience
