AMN is seeking a Certified Equity Professional to handle the day-to-day administration of the Company’s stock plans and collaborate effectively with internal and external partners. As a key part of our legal team, you will also provide support in connection with a range of corporate governance activities.

*Hybrid role -2 days in office is required

Job Tasks:

  • Administrate AMN’s stock program, which includes but is not limited to resolving employee inquiries, processing grants, vests, ESPP, issuing shares, cancellations, quarterly and ad hoc reporting, 10b5-1 trading plans, pre-clearance trading log, equity website and assist with employee education and trainings;
  • Professionally communicate and collaborate with various internal and external collaborators, including executives, directors, auditors, outside counsel, transfer agents, brokers, shareholders and other departments to track progress and report on various projects, processes and initiatives;
  • Support the anticipated implementation and administration of AMN's employee stock purchase plan;
  • Conduct monthly and quarterly reconciliations to ensure data integrity of equity files for Sarbanes-Oxley Act (SOX) compliance and internal and external audits pursuant to related rules, regulations, policies, procedures and practices
  • Conduct research, maintain spreadsheets for tracking purposes, process board retainers, coordinate shareholder calls and assist with certain aspects of the proxy statement.

Minimum Education/Certifications: 

  • Bachelor's Degree | Preferred

Preferred Education/Certifications:

  • CEP Designation Preferred
  • E-Trade EEO Experience

Minimum Work Experience

  • 2-3 years of relevant work experience at a publicly traded company or law firm, preferably in stock plan administration and corporate governance.
  • Strong attention to detail, accuracy and organizational skills.
  • Desire to learn and overcome challenges in a fast-paced environment.
  • Commitment to providing excellent customer service to internal and external partners.
  • Strong communication skills and comfort dealing with senior executives and board members.
  • Computer and tech savviness with proficiency in Equity Edge Online, Excel, Microsoft Office, and Diligent.
  • Sensitivity to, and ability to preserve confidential information.
  • Ability to learn on the fly and work within strict time frames and deadlines

Pay Rate

$101,000 - $120,000 Salary

Final pay rate is dependent on experience, training, education, and location.
