• Proactively build positive relationships and collaborate cross-functionally with multiple internal executives and other internal stakeholders.
• Provide legal support for Global Procurement and corporate/commercial contracting with primary focus on: general contract review and negotiations; language standardization; and contracting policies, procedures and compliance.
• Provide contracting and contract management support to Global Procurement, primarily including drafting and redlining contracts, request-for-proposal (RFP) template drafting and RFP content reviews, and other support responsibilities for procurement processes

Contract Management

  • Partner with Global Procurement team to be the key contact and subject matter expert for all contract-related activities, including drafting, reviewing, negotiating, and interpreting a wide variety of commercial/corporate contract terms, conditions, modifications, penalties, and incentives, while working with key stakeholders to ensure requirements are met.
  • Handle various types of agreements, including NDAs, SaaS Agreements, Consulting Agreements, Software License Agreements, IT and Business Process Outsourcing Agreements, Statements of Work, and related amendments and supplements.
  • Create and modify RFP templates and related documentation.
  • Work with Global Procurement managers to draft contractual provisions based on strategy discussions with stakeholders.
  • Establish clear processes for the involvement of, and oversee when required, external legal counsel in the contracting life cycle.
  • Manage contract compliance from initial execution through the contract life cycle, including delivery against objectives, adherence to security guidelines, and other due diligence.
  • Review contractual performance of vendors to ensure compliance with terms and identify conflicts or changes requiring resolution at contract renewal or via an amendment.

Legal/Advisory Support

  • Serve as a legal advisor for digital products, including Gen AI and other digital products and platforms.
  • Support legal tools, program governance, and processes to improve legal service delivery and develop new legal processes, approaches, templates, and playbooks to drive efficiency at scale.
  • Provide recommendations and contribute to the development of policies, processes, procedures, and organizational structures to improve the contracting life cycle.
  • Identify and implement ways to improve the efficiency and effectiveness of delivery of legal services for Global Procurement.

Collaboration

  • Develop relationships with business stakeholders to support business objectives and jointly develop contract negotiation strategies taking a balanced risk-based approach.
  • Partner with various departments across the Markel organization, including Legal & Compliance (US and International), Global Security Services, IT, Finance, Claims, Workplace Resources, Audit, and Privacy and Compliance.
  • Liaise with Human Resources Legal on various third-party agreements, including benefits and payroll services.
  • Serve as the primary liaison with external counsel for real estate, construction, and leasing engagements.

Training and Development

  • Develop and provide training on legal matters for procurement/contracting.
  • For pre- and post-procurement activities, establish contract management objectives, procedures, templates, and workflow processes for vendor contracts and deliverable schedules, and manage the contract database for all executed agreements.

Education

  • Law degree from U.S. law school

Certification

  • Active member of the Virginia State Bar (or willing/able to become admitted in Virginia)

Work Experience/Skill Set

  • Minimum of 5-8 years of contract/procurement experience (in-house and/or private practice at large national law firm)
    • Significant experience drafting, reviewing and negotiating contracts and related documentation is required
    • Familiarity with international law and vendor contracting provisions is highly desired
    • Experience with complex technology, managed services and/or business contract provisions
    • Experience with data privacy (GDPR, CCPA), data security, cloud, and SaaS agreements
    • Procurement/sourcing/vendor management/administration experience is a plus
  • Customer-focused, service-based approach with stakeholders and vendors that emphasizes the creation and cultivation of cross-organizational relationships

  • Willingness to travel on a limited basis
  • Experience with MSFT Office products (i.e. SharePoint, Teams, PowerPoint, Word, & Excel)
