The purpose of the role of the Company Secretary and Legal Counsel is to work with the Board of directors and support them in adherence to the law and ensure legal compliance in the organization. The position will be based in Ahmedabad, India. This role will report to the General Counsel based in US.

Essential Duties and Responsibilities: 

  • To ensure the compliance of the provisions of Companies Law and Rules made there under and other statutes and bye-laws of the company 

  • To prepare and the filing of various documents/returns/ resolutions as required under the provision of Company Laws to various authorities from time to time. 

  • Proper maintenance of books and registers and of the company and safe custody of all documents as required by the provision of company laws and other laws including records of the board meeting and minutes of the proceeding of board meeting and shareholders meeting 

  • Responsible for providing accurate and timely counseling to the Company on various legal issues that directly or indirectly affect the business.  

  • Ensure proper adherence to the Companies Act and other corporate laws by supporting Statutory / Legal compliances and proactively monitoring changes in the legal framework. 

  • Liaise with various Government/Semi-government/ RBI/ Ministry bodies in resolving business related issues on a timely basis. 

  • Ensuring proper documentation for Credit sale of machines by executing relevant documents to safeguard our financial exposure.  

  • Preparation of various agreements i.e., Know-how Agreements, Joint Venture Agreements, Confidentiality Agreement, Leave and License Agreements, etc. 

  • Apply for Trademark for various machine models & logos and defend the opposition of trademarks by opponents. 

  • Providing in-house legal solutions for all matters except taxation-related matters. 

  • Responsible for land and leasehold-related matters and ensure proper compliance with legal documentation (registration, stamping, etc). Provide legal assistance in Project implementation. 

  • Responsible for initiating and pursuing legal proceedings, for civil & criminal both “ for and against” as required by the company i.e. handling cases on behalf of the Company at various stages up to the High Court and  Supreme Court. 

  • To take care of Insurance of various Assets and other liabilities of the company 

  • To take care of FEMA-related requirements of the organization.

  • Technical understanding of company’s business and operations and attentions to details. 

  • Problem solving and analytical skills 

  • Excellent interpersonal communication at all level verbal & written  

  • Ability to work well within the team and professionalism which is required for the job. 

  • Ability to multi-task and meet deadlines and work with high levels of responsibility.

Bachelor of Law, Company Secretary. 

 

Travel: 

As per business requirements.
