Scope of Consulting Services

The Consultant shall provide advisory and strategic support to ZOLL in relation to the Emergency Medical Services (“EMS”) market.

The Consultant’s services shall include, but shall not be limited to, the following activities:

1. Strategic Advisory

The Consultant shall leverage his knowledge and understanding of EMS systems and his experience with lifesaving technologies, including ZOLL systems, to support ZOLL in identifying and developing strategic opportunities within the EMS sector in Portugal and the Southern Region.

2. Business Planning Support

The Consultant shall support the development and refinement of ZOLL’s business planning activities, including contributing to the planning process for the 2026 business year and identifying relevant industry events and engagement opportunities.

3. Go-To-Market Strategy

The Consultant shall advise the Company on the development and implementation of an appropriate go-to-market strategy, which may include:

  • Identification and evaluation of suitable distribution partners;
  • Assessment of a multi-distributor model;
  • Evaluation of potential direct market approaches; and
  • Recommendations aimed at increasing market visibility and presence

4. Product Expertise and Key Opinion Leadership

The Consultant shall act as a product expert and Key Opinion Leader (“KOL”) for the Southern region and Portugal and may, where appropriate, support activities across Europe, the Middle East and Africa (“EMEA”) and Latin America (“LATAM”).

5. Educational and Promotional Activities

The Consultant may conduct webinars, presentations, and other educational activities related to ZOLL technologies and their application in the EMS environment.

6. Stakeholder Engagement and Peer-to-Peer Support

The Consultant shall, where requested by ZOLL, facilitate peer-to-peer discussions and strategic engagement with key EMS stakeholders and organizations, including but not limited to selected Strategic Accounts.

The Consultant shall perform the Services in a professional and diligent manner consistent with industry standards and in alignment with ZOLL’s strategic objectives.
