Our Legal team partners closely with the business to enable innovation, support growth, and manage risk in a dynamic, global environment.

We are seeking a Senior Corporate Paralegal to join eBay’s Legal team. This role will support the Corporate & Securities function and play a critical role in managing U.S. and international subsidiary governance and corporate legal operations. The ideal candidate brings extensive experience supporting public companies, strong attention to detail, and the ability to independently manage complex, global subsidiary matters while collaborating with cross-functional teams and external advisors.

What you will do

  • Manage U.S. and international subsidiary governance, including entity formations, dissolutions, qualifications, restructurings, and ongoing compliance
  • Maintain accurate and up-to-date subsidiary records, including minute books, organizational charts, director and officer information, and ownership structures
  • Draft and coordinate board, shareholder, and committee resolutions, written consents, and meeting minutes for parent and subsidiary entities
  • Coordinate director and officer appointments, resignations, and changes across global subsidiaries
  • Support and execute corporate actions, including dividends, capital contributions, intercompany agreements, intercompany loans, and other internal corporate transactions
  • Partner closely with Finance, Tax, Treasury, Accounting, HR, and other internal teams to ensure accurate and timely execution of corporate transactions
  • Coordinate with outside counsel, auditors, and service providers worldwide on subsidiary governance, audits, and compliance matters
  • Support public company governance requirements, including assistance with board and committee processes and related documentation
  • Administer and maintain subsidiary management platforms, including Blueprint and other common entity management and corporate governance tools
  • Assist with corporate due diligence in connection with financings, restructurings, and strategic transactions
  • Identify opportunities to improve corporate governance processes, templates, and workflows to drive efficiency and scalability
  • Serve as a trusted resource to legal and business stakeholders on subsidiary governance and corporate record-keeping best practices

What you bring

  • 8+ years of experience as a corporate paralegal or equivalent role, with significant experience supporting U.S. and international subsidiaries
  • Strong background in subsidiary governance, entity management, and corporate record keeping
  • Hands-on experience drafting corporate resolutions, written consents, and minutes
  • Demonstrated experience coordinating complex corporate actions such as dividends, capital contributions, intercompany agreements, and intercompany loans
  • Experience working with public companies and supporting public company governance requirements
  • Proficiency with Blueprint software and other subsidiary/entity management tools
  • Proven ability to manage multiple matters simultaneously in a fast-paced, global environment
  • Excellent organizational, drafting, and communication skills with strong attention to detail
  • Ability to work independently while collaborating effectively with cross-functional and international teams

Nice to have

  • Prior in-house experience at a global technology or ecommerce company
  • Experience supporting audits, SOX compliance, or public company reporting processes
  • Familiarity with securities law concepts and board-level governance practices
  • Experience mentoring or supporting junior paralegals or legal staff

The base pay range for this position is expected in the range below:

Base pay offered may vary depending on multiple individualized factors, including location, skills, and experience. The total compensation package for this position may also include other elements, including a target bonus and restricted stock units (as applicable) in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as PTO and parental leave). Details of participation in these benefit plans will be provided if an employee receives an offer of employment.
