Job Summary:

The general counsel is responsible for leading corporate strategic and tactical legal initiatives. The general counsel provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions and negotiating critical contracts.  Directs corporate compliance program including planning and directing programs, policies and practices to ensure compliance with regulatory requirements.

Accountabilities & Responsibilities:

  • Adheres to Integer’s Values and all safety, environmental, security and quality requirements including, but not limited to: Quality Management Systems (QMS), Safety, Environmental and Security Management Systems, U.S. Food and Drug Administration (FDA) regulations, company policies and operating procedures, and other regulatory requirements.
  • Maintains corporate culture that represents the highest level of ethical behavior and integrity, unfaltering quality, and legal compliance.
  • As a member of the Executive Leadership Team reporting to the CEO, participates in establishing strategic direction of the Company.
  • Provides legal direction, process and negotiation expertise related to all major business transactions, including contracts, acquisitions, divestitures and joint ventures. 
  • Advises management with respect to legal issues related to the development of its business strategy, governance and compliance policies, employment law matters, intellectual property, and merger and acquisition activities.
  • As Corporate Secretary, assumes required responsibilities, maintaining positive interaction with the Board of Directors.  Named as a Section 16 officer.
  • Assumes ultimate responsibility for ensuring that the Company conducts its business in compliance with all applicable laws and regulations
  • Establishes and enforces corporate policies, procedures, and programs aimed at the legal protection of the Company
  • Develops and implements the Corporate Intellectual Property strategy based on company objectives and to ensure adequate protection.
  • Identifies areas of potential vulnerability and risk and develops strategies to mitigate the risk.
  • Judges the merits of court cases filed against or on behalf of the Company, work with other senior executives to define a litigation strategy consistent with the Company’s goals and objectives, and then manage that litigation actively to a successful conclusion
  • Oversees the selection, retention, management and evaluation of all outside legal counsel and provides in-house guidance/counsel.
  • Leads the selection, placement and development of key staff within function, ensuring a high impact team.
  • Manages direct reports; performance, development and training process to ensure a highly skilled and engaged workforce.
  • Responsible for processing and communication of annual performance evaluations, bonus and merit planning for direct reports.
  • Performs other functions as required.

Education & Experience:

Education

  • Graduate of accredited law school.  Admitted to the state bar.

Experience

  • 10 plus years of progressive global leadership experience in a combination of M & A activity, litigation, labor law and regulatory compliance.

Knowledge & Skills:

Specialized Knowledge:

  • Experience working on matters of corporate governance and with a board of directors.
  • Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources.
  • Familiarity and understanding of Sarbanes-Oxley and legislation and related FASB revenue recognition guidelines.
  • Experience in directing strategy and managing complex IP litigation cases
  • Experience in multi-national manufacturing environment
  • Thorough understanding of global regulatory requirements
