Position Overview:

As an IT Merger, Acquisition, and Divestiture Program Director, you will play a crucial role in managing the technology aspects of mergers, acquisitions, and divestitures (M&A&D) within Fresenius Medical Care. You will be responsible for overseeing the integration or separation of IT systems, infrastructure, applications, and data to ensure a smooth transition and alignment with the strategic goals of the company. Your expertise will be instrumental in maximizing the value and minimizing the risks associated with M&A&D activities.

Key Responsibilities:

  • Strategic Planning: Collaborate with key stakeholders, including senior management and business leaders, to develop and execute IT integration or separation strategies that align with the overall M&A&D objectives.
  • Due Diligence: Conduct thorough assessments of IT systems, infrastructure, applications, and data of target companies or business units to identify risks, synergies, and integration/divestiture opportunities.
  • IT Integration/Divestiture Planning: Develop comprehensive plans to integrate or separate IT systems and infrastructure, ensuring minimal disruption to business operations and the timely achievement of strategic goals.
  • Technology Assessment: Evaluate the compatibility and scalability of IT systems and infrastructure of target companies or business units, identifying areas that require consolidation, migration, or optimization.
  • Cyber Security: Conduct cyber security assessment to determine target company’s cyber posture, ensure security standards are followed in integration of network and infrastructure; identify an access management and other security policies are harmonized, and security operations standards are followed.
  • Data Integration: Define and execute data migration strategies, including data cleansing, mapping, and transformation, to ensure the accurate transfer and consolidation of critical information.
  • Application Rationalization: Assess the application landscape of the combined or separated entities, identifying redundancies and opportunities for consolidation, modernization, or retirement.
  • IT Governance: Establish and implement governance frameworks, policies, and procedures to ensure effective management and control of IT assets, resources, and budgets during the M&A&D process.
  • Change Management: Develop change management plans and communication strategies to facilitate the adoption of new IT systems and processes by employees, addressing any resistance or challenges.
  • Vendor Management: Coordinate with external vendors and service providers to ensure seamless integration or separation of outsourced IT services, negotiate contracts, and manage relationships.
  • Risk Management: Identify and mitigate IT-related risks during the M&A&D process, including data security, compliance, operational continuity, and business resilience.
  • Post-Merger Integration Support: Provide ongoing support and monitoring to ensure the successful post-merger integration of IT systems, infrastructure, applications, and data.
  • Expected to manage team of cross-functional M&A SMEs

Requirements

  • Bachelor's degree in Information Technology, Computer Science, or a related field (Master's degree preferred).
  • Proven experience in managing IT integration or separation projects in the context of mergers, acquisitions, or divestitures.
  • In-depth knowledge of IT systems, infrastructure, applications, and data management principles and best practices.
  • Strong understanding of business processes and the ability to align IT strategies with overall organizational goals.
  • Proficiency in project and program management methodologies and tools to effectively plan, execute, and monitor M&A&D projects.
  • Excellent communication and interpersonal skills to collaborate with stakeholders at all levels and manage change effectively.
  • Analytical mindset with the ability to assess complex IT landscapes, identify risks and opportunities, and propose practical solutions.
  • Familiarity with regulatory and compliance requirements related to IT integration, data privacy, and information security.
  • Certifications such as PMP (Project Management Professional), ITIL (Information Technology Infrastructure Library), or CISSP (Certified Information Systems Security Professional) are a plus.
  • Flexibility to travel as required to support M&A&D activities
