Senior Legal Manager-Corporate & Securities-Carmel, IN (Hybrid)

Reporting directly to the Deputy General Counsel Labor & Employment, Chief Compliance Officer, Assistant Corporate Secretary, the Senior Legal Manager - Corporate & Securities will play a key role in supporting the preparation Section 16 filings and various other SEC filings, creating training materials, supporting management of corporate governance related policies, providing support with Board related matters, supporting all aspects of corporate entity matters for the company’s ~100 global subsidiaries, organizing and maintaining all corporate books,  and supporting NYSE listing requirements. Requires highest levels of professionalism, attention to detail, organizational skills, and use of judgment and discretion.

What You Will Do:

SEC (Securities Law) Matters:  

  • Provide support for Section 16 compliance matters for the company’s officers and directors, including providing support in the preparation and filing of Form 4s for transactions by Section 16 officers.

  • Maintain records related to Section 16 filings in a well-organized and accurate manner.

  • Support the process for the company’s SEC filings, including proxy statement, annual and quarterly filings, and current reports, including coordination with and oversight of external service providers.

  • Provide support to the annual conflict minerals report in coordination with the global supply compliance manager.

  • Provide support related to the maintenance of corporate governance related policies.

  • Provide support related to the process of benchmarking against the risk factors of peer companies, with the objective of spotting key trends and topics.

  • Help prepare training materials and and assist with trainings for employees on insider trading, regulation FD and other related compliance matters.

General Corporate Matters:

  • Organize and maintain corporate books for the company and the company’s ~100 global subsidiaries and ensure the books are well organized, accurate, and complete. 

  • Provide management and oversight of corporate paralegal, administrators and outside vendors  to ensure the company minute books are accurate, including management of corporate governance and legal entity management items.

  • Review requests for new entity formations (and dissolutions) and provide support related to the required incorporation (or dissolution) documents, including coordinating with Tax as needed.  

  • Serve as primary point of contact for all corporate related questions (e.g., legal entity and signing authority matters).

  • Exercise sound judgment and discretion at all times with regard to various requests/questions from internal and external clients.

  • Responsible for ensuring database for legal entities is accurate and updated promptly; coordinate with regional paralegals and attorneys, as well as outsourced service providers and law firms, regional comptrollers and corporate tax team on a regular basis.

  • Provide support related to the annual general meetings processes for the company’s international subsidiaries.

  • Manage the company’s registered agents in the United States and Canada.

NYSE Listing Matters:

  • Provide support related to the Company’s NYSE compliance, including listing updates and compliance with various NYSE listing rules.

  • Responsible for notifying NYSE and transfer agent of dividend declarations.

  • Handle notices to NYSE during proxy season.

Board Related Matters:

  • Provide support related to the preparation of board meeting agendas and materials.

  • Provide support related to conflicts of interest controls, including preparation and evaluation of D&O questionnaires, coordinating with the company’s internal and external auditors and preparing the related party reports to the board and to shareholders.

  • Organize and maintain Board related data, including attendance and annual grants.

Irish Corporate Matters:

  • Provide support related to the preparation of various required filings under Irish corporate law.

What You Need to Succeed:

  • Bachelor’s degree preferred. 

  • ABA-Paralegal certificate or equivalent in work experience.

  • Minimum of 10 years of experience as a corporate paralegal. 

  • At least several years of experience in a managerial role, senior corporate paralegal role or equivalent, strongly preferred.  

  • Proficiency with Microsoft Office Suite including Word, Excel, and Powerpoint. 

  • Experience with Section 16 Manager, Wdesk, Diligent Entities, GEMS or other similar software preferred.

  • Experience with drafting powers of attorney and resolutions.

  • Experience working at a publicly traded company required.

  • Experience leading projects a plus.

  • Experience with Form 4 filings a plus.

  • Experience with research using Intelligize (or similar search engines) a plus.  

  • Must have excellent attention to detail and be highly organized.

  • Commitment to accuracy.
