SUMMARY

The Corporate Counsel will provide comprehensive legal advice and support regarding contract documents and transactions for the Company. This role will manage the Company's contract review program and oversee its contract lifecycle management, as well as assist with mergers and acquisitions, including conducting due diligence.

Key responsibilities include reviewing contracts, providing markups and responsive revisions, and drafting contracts and other related documents, as needed. The Corporate Counsel will actively participate in contract negotiations alongside internal teams to protect the Company’s legal interests and ensure a thorough understanding of any risks associated with the contract or transaction. Collaboration with external legal vendors and law firms on outsourced contract reviews will also be a key aspect of this role.

Beyond transactional duties, the Corporate Counsel will oversee and manage the Company’s contract document review program. This involves managing workflows, such as the electronic intake of contract review requests, assignment of contract reviews to external vendors, ongoing negotiations, management of open contracts, and various administrative tasks related to the program.

Job Details

Compensation:
Towne Park is committed to offering competitive, fair, and commensurate compensation. Actual compensation will be based on a candidate’s job-related skills, experience, education or training, and location. The annual base pay range for this position is $120,000.00-$150,000.00

Additional Compensation: Employees may be eligible to receive annual incentive bonuses depending on their job classification and the policy guidelines. 
 

Benefits: Employees are eligible to enroll in medical, dental, and vision insurance, accident insurance, critical illness insurance, hospital indemnity insurance, and telemedicine benefits. Employees are provided company-paid basic life and AD&D insurance as well as short-term and long-term disability. Employees are also able to enroll in the company’s 401k retirement savings plan.

Paid Time Off: Employees accrue 0.0385 hours of PTO per hour worked up to a maximum of 80 hours per calendar year. Employees receive 6 paid holidays throughout the calendar year and employees accrue up to a maximum of 4 paid floating holidays per calendar year.

ESSENTIAL FUNCTIONS

  • Review, revise, and negotiate a broad range of commercial contracts and documents, including but not limited to commercial leases, service agreements, confidentiality/non-disclosure, supplier, vendor, operations, IT, SaaS, marketing, and professional services.
  • Draft and manage standard contract forms and templates.
  • work closely with business teams to understand their needs and tailor contracts accordingly.
  • Ensure commercial contracts comply with relevant laws, rules, regulations, and company policies.
  • Identify and evaluate legal and business risks associated with commercial contracts and develop strategies to mitigate those risks.
  • Provide internal training on contract basics and best practices for non-legal personnel who encounter contracts in their daily work.
  • Assist with mergers and acquisitions, including due diligence activity.

QUALIFICATIONS

Education:

  • Bachelors Degree
  • JD Degree

Required Licensure, Certification, etc.:

  • JD Degree
  • Admitted to practice in Pennsylvania and in good standing

Work Experience:

  • 3-5 years of relevant experience
  • In-house experience preferred

Knowledge & Skills:

  • Experience synthesizing information from numerous sources and communicating concise analyses to senior management.
  • Able to work in a fast-paced environment with the ability to handle multiple, competing workloads with changing priorities to meet necessary deadlines.
  • Excellent analytical skills with high attention to detail and accuracy

Authority to Act:

Job is fairly routine. Incumbent follows established practices and procedures. Duties are performed with specific directions given and work is checked or verified on a frequent basis. Decisions are made within specific operational instructions and departmental guidelines. Errors in judgment could affect the smooth and efficient operation of the department.

Budget Responsibility:

The employee has control over resources available only.

Working Environment

 The majority of work will be performed in climate-controlled environment, but may be exposed to inclement weather and varying degrees of temperatures on occasion.

Travel

Travel of up to 10% may be required.
