Job Summary:

The SVP will lead the Strategy, Investor Relations, and Business Development team to collaboratively develop and externally communicate Integer’s organic and inorganic growth strategies.  The incumbent will collaborate with the CEO and Executive Leadership Team (ELT) to continuously improve Integer’s organic strategy and will work closely with the Category Presidents to maintain an inorganic strategy and roadmap of potential inorganic targets.  The SVP will be involved in developing and presenting key investor messages, preparing press releases, creating quarterly earnings-related content, and contributing to the development of annual reports, SEC filings, and proxy statements.

Accountabilities & Responsibilities:

  • Work closely with the CEO and ELT to develop and continuously improve Integer’s strategy
  • Develop and implement a comprehensive investor relations and business development strategies that align with the company's goals and objectives.
  • Work closely with the ELT to establish and maintain a roadmap of potential acquisition targets. 
  • Evaluate current and future opportunistic acquisition opportunities and lead make vs. buy strategies for critical capabilities. 
  • Coordinate and drive accurate financial analysis of acquisition targets and purchase price valuation.
  • Oversee deal sourcing, due diligence processes, negotiation, and execution of strategic transactions, as well as be involved in the integration and post-deal management of acquisition activities.
  • Develop business cases for various opportunities, including deal-specific financial analysis (accounting for strategic, financial, legal and tax implications).
  • Be responsible for monitoring industry trends, performing market analyses, and gathering competitive intelligence to contribute to strategic business planning discussions with senior leadership.
  • Serve as the primary point of contact for the investment community, including institutional investors, analysts, and shareholders.
  • Communicating the company’s financial performance, strategic vision, and business developments to investors and analysts through presentations, earnings calls, and meetings.
  • Partner with CFO to develop and communicate Integer’s financial and strategic messaging to stakeholders, including fixed income investors and rating agencies, on an ongoing basis to provide an accurate and current understanding of Integer and to ensure that Integer maintains a stable, high-quality investor base and generates interest from new investors.
  • Monitoring and analyzing Integer stock performance, equity market trends, peer performance/valuations, macroeconomic trends, investor base profile, and investor sentiment to provide insights to the ELT and Board of Directors.
  • Adheres to Integer Values and all safety, environmental, security and quality requirements including, but not limited to: Quality Management Systems (QMS), Safety, Environmental and Security Management Systems, U.S. Food and Drug Administration (FDA) regulations, company policies and operating procedures, and other regulatory requirements.

Education & Experience:

  • Minimum Education: Bachelor's Degree required in finance, economics, marketing, engineering, or related field; MBA preferred.
  • Minimum Experience: 15+ years of experience in the CDMO, banking, or capital markets sector

Knowledge & Skills:

  • Proven experience in all aspects of M&A process, including deal structuring, negotiation, diligence, execution, and closing. Integration experience a plus.
  • Strong process and analytical skills, excellent interpersonal and communication skills, and possess the ability to work collaboratively with a variety of stakeholders at all levels.
  • Someone who can demonstrate initiative, has a strong desire to succeed, and willing to exert the extraordinary efforts that will be required.
  • High competency in managing internal and external resources and projects to achieve goals with attention to detail, and commitment to timing.
  • Proven track record of effectively communicating complex financial information to diverse audiences including Executive Leadership Teams and Board of Directors.
  • Experience negotiating and reviewing complex legal agreements
  • Exceptional interpersonal and communication skills, both written and verbal.
  • Strong analytical skills with the ability to interpret financial data and market trends.
  • Experience in managing investor relations teams and developing strategic initiatives with a strong presence in the analyst community.
  • Deep knowledge of, and experience in, Medical Device industry required
  • Experience working with M&A, Investment Banking, and Financial Services sectors.
  • Experience in origination, financial due diligence, and standard underwriting practices;
  • Demonstrated experience managing and finalizing global transactions from start to finish.
  • Demonstrated experience working across stakeholders to develop portfolio strategy and both set and achieve targets.
  • Demonstrated ability in leading a global team, providing effective leadership to cross-functional teams, and proactively pushing forward strategic transactions.
  • Knowledgeable about the highly regulated nature of the business and is comfortable operating within such an environment.
  • Ability to build consensus and alignment, and communicate and collaborate effectively at all levels of the organization
  • Problem-solving abilities with the ability to anticipate potential issues and suggest creative alternatives to overcome barriers
  • Demonstrated ability to lead, influence, and build credibility with numerous stakeholders (executive, functional, plant management, operations, marketing, customers, and suppliers) to achieve desired outcomes.
  • Highly motivated with the ability to multi-task and provide timely feedback on all projects to all stakeholders
  • Proficient computer skills, Outlook, Excel, Project, Word & PowerPoint.
  • Strong Negotiations Skills
