Job Purpose
The Sr. Attorney, IT Contracts provides legal counsel and advice on commercial contracts, intellectual property, and other related matters. The Sr. Attorney, IT Contracts is responsible for drafting, reviewing, negotiating, and editing contractual documents relating to all types of commercial agreements but will primarily focus on Information Technology- and Information Security-related contracts.
Essential Responsibilities
- Serves as a primary legal contact for Information Technology- and Information Security-related contracts. This includes, without limitation, platform, software, hardware, data, cyber security, contractor, and consultant agreements.
- Drafts and reviews a variety of commercial non-IT agreements. This includes, without limitation, the following types of agreements: purchasing, administrative, confidentiality, intellectual property, professional engagement, settlement, hotel, event, contractor and consultant, and other goods and services.
- Facilitates the contract review process, including providing advice to business personnel, participating in contract negotiations as needed, and coordinating contract review by other attorneys as needed.
- Routinely reviews and provides advice to business personnel regarding the interpretation of existing contracts (IT and Non-IT).
- Facilitates Intellectual Property maintenance and review process, including providing advice to business personnel and coordinating trademark portfolio with other attorneys or outside counsel as needed.
- Supports and promotes compliance of internal policies and procedures, including, but not limited to, those surrounding Intellectual Property as well as the contracting process.
- Supports and contributes to the internal contracting database(s), including contract review requests, status of contract reviews, and reporting.
- Oversees outside counsel as needed.
- Maintains expertise and serves as subject matter expert on various matters as requested by management.
- Works collaboratively across various Legal teams and builds and fosters relationships across the Company.

- Strong working knowledge of Microsoft Office, including Word and Outlook.
- Effective at establishing and maintaining positive working relationships with management, colleagues, and internal and external contacts.
- Strong negotiation skills.
- Ability to mentor junior staff.
Qualifications
Juris Doctor from ABA accredited law school required.
Member in good standing of a State Bar Association required.
5+ years of IT contracting experience required.
7+ years of contract law experience preferred.
Experience with a contract management system preferred.
