SERVICES TO BE PROVIDED:
1. Overall Mandate

1.1 The Contractor shall act as a senior legal, privacy advisor and data protection officer to the Company and its affiliates, providing strategic and operational support across corporate, commercial, data protection, governance and regulatory matters, including in Europe, APAC and other regions in which the Company operates or plans to operate.
1.2 The Services will be rendered remotely from the Netherlands and performed exclusively outside of Canada.

2. Corporate, Commercial and Contracting Support
2.1 Providing corporate and commercial legal support in relation to the Company’s global operations, including:
(a) drafting, reviewing and negotiating commercial, procurement, technology, services, recruitment partner and institutional agreements;
(b) advising on cross-border contracting structures and risk allocation; and
(c) developing and refining contract templates, clause libraries and playbooks as reasonably requested by the Company.
2.2 Advising management and key stakeholders on legal risk, corporate governance and regulatory requirements in connection with the Company’s existing operations and planned initiatives.

3. Data Protection Officer and Privacy Services
3.1 Acting also as the Data Protection Officer for the Company and such affiliates as may be designated by the Company, including:
(a) advising on obligations under GDPR and other applicable privacy and data protection laws;
(b) supporting the design and maintenance of the Company’s privacy and data protection framework, including policies, procedures and records; and
(c) supporting the Company’s approach to privacy-by-design and data protection by design and default in its products, services and internal processes.
3.2 Providing guidance, as reasonably requested, on data subject rights, data processing agreements, privacy and data protection impact assessments, incident response and engagement with supervisory authorities or institutional partners on privacy-related topics.

4. Intellectual Property, Technology and Branding
4.1 Advising on intellectual property strategy and protection, including trademarks, copyright, domain names and related rights owned or used by the Company.
4.2 Coordinating with internal and external stakeholders in relation to registrations, renewals, enforcement strategy and protection of the Company’s brand and technology assets, as reasonably requested by the Company.
4.3 Providing legal input on the use and development of technology and AI tools within the Company’s products and operations, with a focus on legal risk, privacy, information governance and alignment with applicable laws and policies.

5. Governance, Compliance, People & Culture and Market Expansion
5.1 Supporting the Company’s governance and compliance frameworks, including ethics, privacy, information security and other regulatory areas relevant to the Company’s business model and risk profile.
5.2 Providing guidance to People & Culture / HR and other internal teams on corporate governance and regulatory compliance topics, which may include policies and procedures relating to workplace conduct, post-pandemic working arrangements, regulatory changes impacting employment practices, and similar matters.
5.3 Advising, as reasonably requested, on regulatory compliance in key jurisdictions, including but not limited to:
(a) global labour and employment regulations (including workplace harassment and similar frameworks),
(b) tax and indirect tax considerations (including GST-related questions within the Contractor’s competence), and
(c) other jurisdiction-specific compliance issues relevant to the Company’s operations.
5.4 Supporting the Company’s entry into, or expansion within, new and existing jurisdictions by advising on legal and regulatory aspects of new products, services, structures and partnerships.
5.5 Assisting the Company in preparing for, and where appropriate participating in, interactions with regulators, labour authorities and other governmental or quasi-governmental bodies in connection with legal, privacy, compliance or related matters within the Contractor’s expertise.

6. Policy, Training, Engagement and Strategic Projects
6.1 Providing input into the development, review and periodic update of internal and external policies, notices and public-facing legal documentation (including privacy, cookies, security, AI and other relevant policies), to support compliant and consistent positioning across markets.
6.2 Providing legal and privacy training and awareness sessions for relevant internal teams (including People & Culture, Procurement, Product, Commercial, CX and other functions), as agreed with the Company from time to time.
6.3 Participating in meetings, committees and project workstreams designated by the Company where the Contractor’s legal and privacy expertise is required to support key initiatives, product development, governance or risk decisions.
6.4 Supporting audits, reviews and strategic projects within the Contractor’s areas of expertise, on an as-needed basis as agreed with the Company, including compliance tracking, issue escalation and follow-up where appropriate.
