Purpose:

The Assistant/Associate General Counsel provides legal advice and counsel on a wide variety of issues and works with the Bank's business units within an operating framework of confidentiality, privilege, and service excellence in order to seek pragmatic, effective and efficient solutions to the legal needs of the Bank’s business units to help achieve their goals.

Specific Responsibilities:

  • Review, analyze, and draft contracts and transaction agreements for all areas of the Bank and assist in the negotiation of contracts.

  • Conduct legal research.

  • Advise the Bank’s internal clients, including managers, senior officers, and senior management on assigned matters.

  • Render legal opinions on matters affecting the Bank.

  • Assist with review and drafting of Bank policies and procedures.

  • Monitor legislative, regulatory and judicial developments that have significance for the Bank and the Federal Home Loan Bank System, advise business unit clients accordingly, and assist with responses to regulatory proposals on a Bank and system-wide level.

  • Assist with Corporate Governance and SEC related issues.

  • Participate in various system-wide initiatives and working groups, as assigned.

  • Perform other tasks assigned by the General Counsel.

Position Requirements:

  • JD Degree and graduate or undergraduate degree preferably in business or accounting. 

  • Admitted to practice law in a state bar, preferably in Indiana.

  • Knowledge of commercial and corporate law required. Knowledge of banking and secured transactions a plus.

  • Minimum of 3 years of legal experience (for Assistant GC, 5 years for Associate GC).

  • Strong verbal and written communication skills.

  • Knowledge of federal housing programs or community/economic development a plus.

  • Ability to work full-time.

  • Must not have been convicted of any civil or criminal charge that would suggest a risk to Bank security.

  • Ability to uphold and model the Bank’s Guiding Principles.
