We are seeking a Manager, Equity & Technical Accounting to own stock administration, complex equity and debt accounting, and critical reporting for management, lenders, auditors, and our Board. This is a confidential search; the successful candidate will handle highly sensitive compensation and financing information with absolute discretion.

Key Responsibilities

Stock Administration & Equity Accounting

  • Serve as system owner for Carta; administer our equity plans including:
    • Entering and maintaining stock grants and changes in capitalization.
    • Processing employee terminations and related equity updates.
    • Monitoring and administering stock vesting schedules.
  • Coordinate closely with HR and Legal on equity grants, plan changes, employee communications, and governance.
  • Lead statutory reporting and audit support related to stock plans and share-based compensation (SBC).
  • Coordinate annual 409A and ASC 718 valuation updates with external advisors and internal stakeholders.
  • Prepare and review quarterly SBC accounting entries, reconciliations, and supporting documentation.

Cash-Settled RSUs

  • Serve as system owner for Equity Edge for cash-settled RSU plans.
  • Prepare and review monthly accounting entries for cash-settled RSUs, including mark-to-market and true-up activity.
  • Manage quarterly payout calculations, coordinate HR review/approval, and provide final files to Payroll for processing.

LTI, Bonus & Other Sensitive Accruals

  • Own monthly accruals for:
    • Annual and discretionary bonus programs.
    • Long-term incentive (LTI) plans.
    • Severance and special bonus arrangements.
  • Maintain robust documentation, calculations, and reconciliations to support accruals.
  • Provide statutory and audit support for LTI plans and bonus programs, including responding to auditor inquiries and supporting controls testing.

Financial Reporting & Lender Deliverables

  • Prepare and review monthly reporting tie-outs to ensure consistency between the general ledger, management reporting, and supporting schedules.
  • Contribute to monthly MD&A by providing analysis on equity compensation, bonus/LTI, debt-related items, and other assigned areas.
  • Own or support:
    • Quarterly cash flow statements, with a focus on equity and financing sections.
    • Quarterly equity rollforward schedules.
    • Quarterly lender certification packages, including covenant calculations and required back-up.
    • Quarterly lender deck tie-outs to underlying financials.
  • Maintain and update commitments and contingencies schedules and supporting files.
  • Support preparation and tie-out of annual financial statements, including disclosures related to share-based compensation, debt, and commitments/contingencies.

Debt & Technical Accounting

  • Prepare monthly journal entries and reconciliations related to debt instruments, interest, amortization of discounts/premiums, fees, and derivatives.
  • Partner with external advisors and internal stakeholders on technical accounting for:
    • New or modified debt agreements.
    • Interest rate swaps and other hedging arrangements.
    • Other complex financing transactions.
  • Draft and maintain technical accounting memos and support documentation as needed.

Special Projects & M&A

  • Provide technical accounting support for significant or non-routine transactions and process improvements.
  • Participate in potential M&A activities including:
    • Financial due diligence support.
    • Purchase accounting and opening balance sheet work.
    • Integration of acquired entities into existing systems, processes, and reporting.
  • Lead or support other ad hoc projects within Corporate Finance and Accounting.

Qualifications

  • Bachelor’s degree in Accounting, Finance, or related field; CPA or equivalent strongly preferred.
  • 7+ years of progressive accounting/finance experience, including:
    • Public company experience and/or Big 4 / large public accounting firm.
    • Direct experience with share-based compensation and debt accounting.
  • Hands-on experience with Carta and/or Equity Edge a plus.
  • Strong working knowledge of US GAAP, particularly ASC 718 (Compensation – Stock Compensation) and ASC 470/815 (Debt and Derivatives).
  • Demonstrated experience working with external auditors, valuation specialists, and legal/HR partners.
  • Advanced proficiency in Excel and comfort working with large data sets and complex models.

Skills & Competencies

  • High integrity and discretion in handling confidential and sensitive compensation and financing information.
  • Strong technical accounting skills and ability to interpret and apply US GAAP to real-world transactions.
  • Meticulous attention to detail with a rigorous approach to reconciliations, documentation, and internal controls.
  • Proven ability to manage month-end and quarter-end close timelines and multiple concurrent deliverables.
  • Excellent written and verbal communication skills, including the ability to clearly explain complex topics to non-technical stakeholders.
  • Collaborative, low-ego partner who works effectively across Finance, HR, Legal, Payroll, and external advisors.
  • Continuous improvement mindset, with a demonstrated track record of optimizing processes and controls.
