What you will do

An excellent opportunity has arisen for an Assistant Company Secretary to support the UK Company Secretary. The role includes responsibility for a wide range of administrative Company Secretarial matters, including group governance services ensuring compliance with the Companies Act 2006, best practice under the UK Corporate Governance Code, applicable regulatory requirements and involvement in project work as and when required. The team is based in London and forms part of a highly regarded Company Secretary function within the PGIM Regulatory Law team with flexible, hybrid arrangements available.

What you can expect

Responsibilities of the role include:

  • Managing the end to end process for Board and Committee meetings, to include:
    • Preparing and coordinating Board and Committee papers ensuring timely distribution of the same;
    • Meeting attendance and minute taking and monitoring follow-up action points.
  • Managing statutory records, registers and internal databases and ensuring statutory filings are made on a timely basis in line with statutory and regulatory requirements.
  • Assisting with standard corporate actions such as entity formations and liquidations, changes in share capital and declarations of dividends etc.
  • Supporting in projects as and when required.

What you will bring

  • Part or fully qualified with the Chartered Governance Institute alongside proven Board support experience.
  • Experience of BoardVantage, Diligent or similar meeting management portal advantageous.
  • Good knowledge of Companies Act 2006 and filing requirements of a UK company.
  • Excellent written, analytical and presentational skills.

  • Life Assurance & Income Protection: Life Assurance for 12 times you basic annual salary, up to a max benefit of £1.8million. 60% of your basic annual salary for a limited payment terms of 5 years, at the end of which a capital sum of 2x your basic annual salary is payable.
