Summary:

The Manager, M&A Finance will play a vital role in supporting OneDigital’s M&A growth strategy as a member of the company’s buy side financial diligence processes. As a member of OneDigital’s M&A team, this position will work closely with M&A leaders, owners of target companies, post deal integration teams, outside counsel, and other departments within OneDigital.

Essential Duties and Responsibilities:

· Provide support on buy-side financial diligence from deal inception through closing.

· Analyze financial and operational results of acquisition targets through review of accounting records and operational data.

· Develop initial deal workbooks to support purchase price and forward contribution projections.

· Effective at discussing acquisition financials and operations with business development and executive team.

· Follow up with sellers and/or M&A team on missing information or clarifying questions to understand target financials.

· Provide support to business development lead on deal related calls with sellers and represent the M&A Finance team.

· Collaborate with team to prepare questions list and lead financial diligence calls with sellers.

· Play a critical role in financial diligence for acquisitions including analyzing revenue, identifying expense and operational synergies, and verifying assumptions made pre-LOI.

· Proactively identify SMEs within OneDigital and know when they need to be pulled into a deal.

· Understand nature of operations across all verticals and be able to discuss and defend OneDigital's perspective with sellers.

· Able to run deals independently and proactively identify solutions as issues arise.

· Comfortable challenging a Seller and leading them towards an answer or compromise.

· Project manage financial diligence by ensuring Smartsheet is updated regularly, holding team members accountable for timely and accurate updates.

· Use updated Smartsheet dashboards to gain better insights into deals, allowing for early identification and resolution of potential issues.

· Drive efficiencies and process improvements with greater autonomy, documenting decisions to streamline approval processes and accelerate results.

· Adhere to stringent deadlines and varying workloads supportive of moving M&A pipeline.

· Miscellaneous other projects to support the M&A team

Qualifications, Skills and Requirements:

· Strong organizational, analytical and interpersonal skills.

· Ability to coach, mentor and guide team members.

· Strong verbal and written communication skills.

· Ability to maintain confidentiality.

· High level of accuracy and attention to detail.

· Ability to manage multiple deals and set priorities to ensure efficient execution.

· Capacity to manage an Analyst and have responsibility for their work product.

· Trusted team member who has earned M&A leadership team's confidence.

Education, Training and Experience:

· Bachelor’s degree in Business, Accounting, Finance, or related area.

· 4-6 years of experience in corporate development, investment banking, M&A, private equity or similar financial position.

· MBA, CPA, or CFA preferred.

· Expert Excel skills for financial modeling and analysis; Proficiency in Microsoft Word, Outlook and PowerPoint.

· Insurance brokerage or retirement/wealth management experience preferred, but not required.

Your base pay is dependent upon your skills, education, qualifications, professional experience, and location. In addition to base pay, some roles are eligible for variable compensation, commission, and/or annual bonus based on your individual performance and/or the company’s performance.
