Overview:     

Leads all aspects of the most complex and highest risk issues associated with distressed or defaulted accounts across the Global Capital Markets (GCM) business.  Identifies and mitigates risks associated with issues and distressed accounts by managing related litigation and bankruptcy efforts, legal issues associated with role and transaction performance, events of default, bankruptcy, subpoenas, servicer terminations and transitions, amendments, settlement agreements and general account or portfolio level issues.  Provides leadership and serves as mentor for team.  

Primary Responsibilities:

  • Lead activities related to risk and regulatory compliance for assigned accounts. Document issues and actions ensuring compliance with Department and Company policies, procedures, and guidelines.  Independently identify and manage identified issues and mitigate risk.
  • Analyze the most complex issues and structures, including governing document review and waterfall and/or similar calculations to solve problems. Leverage broad and extensive industry, product, and deal structure knowledge to identify root causes of issues and recommend optimal solutions.
  • Work directly with external parties to monitor, administer, structure, negotiate and/or close GCM relationships and transactions promptly.
  • Complete account administration activities of moderate to significant complexity and risk including document review, high risk and complex contract negotiation across multiple financial transaction types, timely cash flow execution and fee billing, Know Your Customer due diligence activities, internal and external reporting, and tickler management.
  • Can lead Departmental projects as assigned at a strategic level related to product development, fee structures, service delivery and policy and procedures.
  • Lead strategic discussions to drive issues toward resolution while minimizing risk. Lead or actively influence higher levels in the organization to include other Product Leaders and sensitive calls with customers or other deal parties to move issues toward resolution.
  • Leverage deep expertise to deepen relationships and cultivate current and prospective clients and referral sources to uncover opportunities and potential sources of new business. 
  • Work within the business to identify opportunities to enhance GCM's control environment, existing and new products, internal coordination and collaboration and client service model and implement enhancements as requested to improve business results, client service and efficiency.
  • Identify and leverage lessons learned opportunities to drive or influence potential product, policy, or procedural changes that may affect GCM's ability to sustain its' control environment and growth to ensure pro-active responses to identified issues.
  • Represent GCM at transaction closings, attend and chair client meetings and presentations, attend legal proceedings representing company and trusts, including serving as a corporate witness (30(b)(6) as required.
  • Maintain M&T internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators as applicable.
  • Understand and adhere to the Company’s risk and regulatory standards, policies and controls in accordance with the Company’s Risk Appetite.  Identify risk-related issues needing escalation to management.

Scope of Responsibilities:

Manages and owns a specific book of business based on complexity or client needs, including building and maintaining billing practices and hours per assigned goals. Serves as mentor for less experienced team members. Functions as a subject matter expert on complex financial transactions

Education and Experience Required:

  • Bachelor’s degree and a minimum of 7 years’ Global Capital Markets client service, product and/or market related experience, or in lieu of a degree, a combined minimum of 11 years’ higher education and/or work experience, including a minimum of 7 years’ Global Capital Markets client service, product and/or market related experience
  • Strong analytical skills
  • Proficiency with personal computers including word processing, presentation, spreadsheet and industry specific software
  • Demonstrated competence in analyzing and building waterfalls and debt service calculations
  • High proficiency and experience reading, analyzing, and interpreting legal documents
  • Capital Markets and Corporate Trust knowledge
  • Strong problem-solving skills
  • Excellent verbal and written communication skills
  • Experience handling difficult situations and/or strained relationships with tact and diplomacy
  • Significant experience managing high risk issues that pose threat of adverse impact to business

Education and Experience Preferred:

  • Master’s in Business Administration (MBA) or Juris Doctor (JD) degree
  • Bankruptcy and/or litigation experience
  • CCTS (Certified Corporate Trust Specialist) certification
  • Strong knowledge of pertinent department-specific software
  • Demonstrated sense of ownership in jobs or projects

Physical Requirements:

M&T Bank is committed to fair, competitive, and market-informed pay for our employees. The pay range for this position is $93,614.36 - $156,023.93 Annual (USD). The successful candidate’s particular combination of knowledge, skills, and experience will inform their specific compensation.
