The Head of Legal of Alcon TW/HK is responsible for providing strategic legal advice in (and for ensuring the legal sufficiency of) all matters that are relevant to business in Taiwan and Kong Kong. He/she will manage and draft contracts (e.g. marketing, promotion, sales and purchase, in-licensing, consultancy, employment, etc.), intellectual property enforcement, litigation, and employee relations. In addition, he/she is responsible for establishing, promoting, and reinforcing compliance standards, aligned with local laws and regulations and company-wide compliance policies in close collaboration with the Compliance Officer for TW/HK.

This experienced leader, with support and direction from the Head Legal & Compliance APAC, also provides strategic legal guidance and training in key legal areas.

As a member of the local organization’s leadership team, the Head of Legal adds value to the local business beyond purely legal matters.

Major Accountabilities

Serves as Local Legal business partner to the local leadership organization, including but not limited to:

  • Provides substantive and strategic legal support to the Surgical and Vision Care Franchise heads and other local leaders from enabling functions and their respective teams, and more specifically advises on the execution of franchise projects at local level (launch of key products, new surgical business models and strategies, equipment financing agreements, pricing and discount policies, etc.);
  • Evaluate projects with a robust risk assessment, driving compliance awareness and effectiveness, especially on new strategic business models and/or omni-channel or digital initiatives for the franchises, with a particular focus on anti-competition and anti-bribery.
  • Monitors and influences legal and compliance developments; ensures that the business considers legal and compliance trends and risks in the execution of the business strategy;
  • Drafts complex transactionsand directly negotiates agreements for the regional and local organisations i.e. equipment financing agreements, sale and purchase agreements, etc.
  • Provides strategic and contextual legal advice and guidance (incl. training of key customers in specified legal areas) with strong operational and business acumen by setting legal necessities in context with competing operational needs;
  • Reviews promotional materials, marketing models/projects/activities for compliance with applicable laws and regulations as well as Alcon standards and policies;
  • Handles contract management and legal housekeeping and corporate secretarial work
  • Mitigates litigation risk exposure to defend Alcon’s reputation and manages significant disputes/ litigations and/or investigations. Ensures adherence to the Alcon Outside Counsel Policy and managesthe work of external law firms (when needed).
  • Leads projects within Legal function, and provides legal support for commercial initiatives and activities and acts as the data privacy main point of contact;
  • Handles or supports internal investigations
  • Travels as needed within the TW/HK cluster and region to provide advice and training on legal topics.

Ethics and Integrity

Works closely with the Regional Compliance Officer and local Compliance Officer TW/HK to foster a culture of ethics and integrity in the organization and drive compliance awareness and effectiveness;

Education: University degree and Bar admission in Taiwan or Hong Kong

Languages: Fluent in Mandarin (traditional Mandarin). Excellent level of English as a second language.

Experience:

Extensive experience in legal practice (> 10 years, preferably related to the medical device/pharma industry and working in an in-house environment.

Proven ability to proactively provide insightful and timely legal support to stakeholders across a functionally and geographically dispersed organization.

Excellent verbal and written communication skills.

Persuasive negotiator and ability to influence internal/ external stakeholders.

Demonstrates professional & culturally sensitive work ethic

Strong leadership skills.

Sound experience in litigation.

Strong experience in handling a high volume of activity involving multiple projects simultaneously.

Ability to represent Alcon externally on integrity /compliance topics.

Experience with corporate responsibility to balance global standards & local cultures.
