PRINCIPAL RESPONSIBILITIES: Include but not limited to:

  • Providing legal support and guidance to all operational stakeholders in Asia with a focus on Philippines as required from time to time including (but not limited to) Human Resources, Marketing, Finance and Facility Management.
  • Assist the sales and marketing departments with new initiatives, programs, the establishment of new locations and be involved generally in their projects for all vacation ownership products.
  • Prepare and negotiate a wide range of agreements including human resources, technology services, purchase agreements, nondisclosure agreements, finance and telecommunications agreements; prepare and negotiate and/or assist others related to other commercial agreements.
  • Provide assistance to the Legal & Compliance team in the review and drafting of disclosure documents and sales and marketing collaterals to ensure compliance with applicable laws, company policies and applicable governing documents and the review and issue of monthly product knowledge and compliance tests for the Asia based sales staff.
  • Assist the Data Protection Officer in providing guidance to the business to ensure compliance with obligations of data privacy laws in the Philippines and supporting the timely implementation, maintenance, and evolution of various initiatives to ensure compliance with privacy and data protection laws and regulations including policy and procedure documents, training with key stakeholders and regulatory liaison on any privacy or data security matters.
  • Assist the Legal and Compliance team where necessary in the compliance monitoring activities on a monthly, quarterly and ad hoc basis together with any special projects and acquisitions as may be required from time to time.
  • Assist with Corporate Secretarial functions for Philippine and Asia registered companies , including the drafting, review and lodging of relevant Directors’ resolutions, changes to company details, annual reports and regulatory returns.
  • Prepare and manage template documents.
  • Contract Database entry and reporting for all contracts handled by the Legal and Compliance team in Asia, ensuring expiring and new contracts are assigned to a lawyer and following up to ensure amendments and terminations are finalised and documented appropriately within the Contract Database.
  • Conduct legal research and ensure the company is kept up to date with any developing regulatory changes within Philippines that could affect the business or its operations.

KEY POSITION CRITERIA:

  • Admitted to practice as a lawyer in the Philippines
  • University legal qualification gained in the Philippines or other major Asia Pacific jurisdiction
  • Fluent in reading, writing, drafting documents and speaking English essential.  Fluency in other Asian languages an advantage.
  • Have at least 2 to 3 years post graduate legal experience in a law firm or in-house legal.
  • Have previous experience in the preparation of reports and representing a company before FIRB, SEC, BIR, LGUs, NPC, DTI, DOLE, and NLRC.
  • Ability to exercise sound legal judgment in a commercial environment and display prompt problem solving skills.
  • Ability to live and work in Clark.
  • Experience in drafting, negotiating and finalizing a broad range of commercial and property contracts in particular related to hospitality, tourism and vacation ownership industries.
  • High level oral and written communication skills in English and Tagalog. Proficiency in another Asian language will be an advantage, although not a requirement.
  • Ability to work under pressure and in a fast-paced environment.
  • Confidence and ability to communicate and advise all levels of the business up to and including the President and Managing Director on relevant legal matters.
  • Excellent knowledge of relevant laws, regulations and policies.
  • High level computer skills, in particular high level of expertise with Microsoft Office programs.
  • Flexible team player with strong organisational skills, tenacity, initiative and decision making abilities.
  • Ability to effectively prioritise a diverse and constant work flow and so that internal client needs are satisfied.
  • Support others within the team and operate as a collaborative team member.
