What would you do? You will be responsible for Contract management wherein you will manage the processes whereby the performance of client work is coordinated with the contract rights and obligations of the parties to ensure contract compliance (or that the contract is modified as appropriate). It also involves managing contract creation, execution and analysis to maximize operational and financial performance at an organization, all while reducing financial risk. The team works on creating and reviewing contracts, contract summary creation, contract management with experience in the legal background.
What are we looking for? Education and Qualifications
•Education: JD and admission in good standing with applicable bar association(s) (or their local equivalents)
•Knowledge Skills and Experience
•5+ years’ legal experience of relevant attorney work, including:
• Technology transactional experience either in drafting and negotiating technology focused client facing and/or vendor facing agreements (i.e. data licensing, software as a service agreements, cloud, software license agreements, or software development agreements), in a law firm or in a fast-paced in-house legal department or military group.
• Functional understanding of legal issues related to bringing new technology and software products to market in a legally compliant manner, including those utilizing machine learning, third party data.
• Working knowledge of: (a) data and security privacy issues; (b) IP law; (c) open source licensing; and (d) general product development considerations.
• Understanding connection between in-bound agreements and client-facing agreements.
• Risk analysis, appreciation, prioritization, and management.
Roles and Responsibilities: •• Work with the technology business to evaluate software, technology and services offerings to prepare those offerings for market, considering potential legal and other risks.
• Review global software products and providing practical legal risk analyses, mitigation strategies, and client facing terms for those products.
• Work with the business teams to evaluate the technology related to their businesses including reviewing inbound technology and data supply templates/agreements and outbound or client facing templates in different geographies, industries and regulatory environments.
• Develop clear communication messages, guidance, templates and trainings regarding the technology/data components of software and platforms and services for sales and go to market teams, software development teams, technical teams and the rest of the Legal organization on how to bring software products to market in a legally compliant and strategic manner.
• Review, draft, and negotiate complex alliance and vendor technology transaction agreements and advising internal procurement professionals on preferred positions.
• Take on assignments as required by the designated Legal Lead for Technology and Global Services Legal
•Preferred Qualifications:
• Experience analyzing complex facts and situations to provide risk analysis and mitigation strategies.
• Understanding or willingness to learn applicable regulatory landscapes as required, including with respect to data protection and privacy.
• Track record of developing trusted relationships with senior business leaders.
• Experience shaping deals and evaluating innovative commercial models for new products and services.
