Job Description

Corporate legal housekeeping services, which include acting as Corporate Secretary of our entities in the Philippines, corporate secretary support work, preparation of secretary's certificates and minutes of meetings of the Board of Directors and Stockholders, attendance at board and stockholders' meetings, keeping of records associated with the office of the Corporate Secretary, preparation and filing of routinary reports to the Securities and Exchange Commission (such as the General Information Sheet, etc.), preparation and issuance of secretary's certificates indicating the matters resolved by the Board of Directors, minor legal opinions on routinary matters and similar matters. 

Typically, a Corporate Secretary candidate should have:

  • A bachelor’s degree in law, business administration, or a related field.

  • Professional certification as a Corporate Secretary or a legal professional.

  • Several years of experience in a corporate governance role.

  • Strong knowledge of corporate law and governance practices.

  • Excellent organizational, communication, and interpersonal skills.

  • Attention to detail and the ability to handle confidential information with discretion.

  • Proficiency in administrative tasks, including organizing meetings, maintaining corporate records, and preparing minutes.
