You will support Avanade, a joint venture between Accenture and Microsoft, which is a leader in cloud services, AI, and sustainable industry solutions within the Microsoft ecosystem. Avanade focuses on mid-market clients with revenues ranging from $500 million to $5 billion, providing agile and high-value IT services. In this role, you will specifically provide legal support to our Microsoft Alliance and Global Partner Ecosystem business teams, who are focused on building and growing Avanade’s strategic partnerships. You will advise business leadership on legal risks and guide clients through our strategic partner contracting processes. You will drive growth by increasing Avanade’s profitability through leveraging partner funding and resale transactions and by winning clients with creativity and innovative legal strategies leveraging partner technologies, even in smaller deals. High agility and urgency are essential to manage a high volume of deals with shorter cycles and shifting priorities. You will make informed decisions and take calculated risks to propel the business forward. Your role will involve balancing ease of collaboration with the need to avoid undue risk to Avanade. You will also balance the aggressive expansion of Avanade’s recurring platform business with providing customized, high-touch legal services for select clients who prefer traditional contract negotiations. As an independent advisor on legal and commercial risks, you will support Legal, Business, and Sales Leadership in shaping Avanade’s mid-market strategies. Global Legal Network (GLN) is a group of professionals operating globally from 10 countries. It provides a broad spectrum of differentiated services - focused on delivering value and innovation. We partner with Legal teams across Accenture to build efficiencies and centers of excellence related to Legal services; and through our size, geographic spread and language diversity, the Global Legal Network is able to drive quality, agility and speed in our services, aligned to Accenture’s relentless focus on maximum efficiency and operational effectiveness.

Technology: Resale – Accenture has a Resale program under which it resells third party technology to Clients. Support Accenture’s business in performing resale transactions by providing guidance in deal-shaping and subject matter expertise on agency resale. The role requires drafting, review and negotiation of resale agreements/legal documents with Partners and Clients following Accenture’s internal policies, procedures and applicable laws

Key responsibilities:

· Good understanding of Legal/GLN, and Global Services area needs and priorities, strategy, objectives, and opportunities

· Good understanding of Legal and GLN

· Very good understanding of relevant company policies

· Act as a POC and escalation point for support area

· Enhance subject-matter expertise in the concerned support area

· Understand, suggest, and encourage process improvements in the support area

· Collaborate with tech team in development of new tool or enhancement of existing ones

· Ensure creation of checklists and other process documents

· Ability to represent GLN; directly liaison with internal stakeholders on various issues

· Supervise the management of SharePoint and communication records

· Identify and lead trainings for the team for upskilling and professional development

· Identify and implement new initiatives in Global Services support area or within Legal/GLN

· Build credible and effective relationships with onshore counsels and within GLN team

· Lead and drive recruitment efforts for the team

· Effective management of direct reports and team; quick conflict resolution

· Provide coaching and mentoring to junior members of the team

· Provide feedback to individuals; lead and drive talent discussions for the team

· Proactively try to ‘give back’ to GLN/Legal

Specific Responsibilities aligned to Role:

· Independently draft and review and negotiate high complexity agreements and documents to be signed with partners and clients, including but not limited to Alliance and Go-To-Market Agreements, Collaboration Agreements, Non-Disclosure Agreements, Resale Agreements, Teaming Agreements, renewals and amendments, and other agreements to support Avanade’s Microsoft alliance and global strategic partnerships.

· Interpret Accenture and Avanade policies as it relates to third party alliance formation and third-party compensation and provide guidance to company stakeholders.

· Analyze and resolve high-complexity contract issues and business scenarios.

· Operate as group lead for other GLN members for day to day escalations regarding contracting issues. Act as advisor for escalations from junior members.

· Project coordination and deal shaping.

· Independently handle the communication with internal clients, business teams and stakeholders on various legal matters. Develop subject matter expertise in specific partnerships, providing guidance to different areas, as required.

· Develop a working relationship with Avanade’s and Accenture’s most important partners (including Microsoft), demonstrating knowledge in their specific processes.

· Maintain contract compliance in line with company policies and procedures and ensure issues are identified and resolved;

· Support deal shaping opportunities for specific high complexity deals, consulting as necessary.

· Require approvals when needed - in particular, ensuring that all stakeholders are fully informed and engaged on a timely basis with the process and associated responsibilities.

· Execute tasks with autonomy and good judgement, independently providing effective solutions to encountered complexities and providing error-free work results.

· Perform research of laws and regulations or technical aspects applicable to assigned requests.

· Lead specific ad-hoc projects, planning strategy, coordinating team members and aligning with other areas. Coordination of training sessions to the team. Organizing the onboarding and training of new joiners, ensuring the administrative processes are completed.

· Review of others’ performance, feedback and talent actions to the members of the team in charge. Manage the team’s work allocation and stakeholders’ expectations. Participate in decision making regarding headcount and suggest improvements. Organize interviews for job applicants and communicate results with the stakeholders.

Job Qualifications

Education:

· Bachelor’s degree or similar
 

Certifications and Membership:

· Compliance related global professional certification considered a plus.

Work Experience:

· Minimum of 8 years of experience at the required field.

Work Requirements:

· Travel may be required

· Fluency in English (and other language, depending on geography supported) with very strong oral and written communication skills.

Skills, knowledge and experience:

· Strong experience in agreement drafting, review and negotiation.

· Strong experience in identifying and differentiating risks to business stakeholders (e.g., high/moderate/low, business vs. legal, and actual vs. theoretical) and proposing solutions.

· Experience in interpreting and applying internal corporate policies to achieve desired business outcomes.

· Experience in leading projects and teams on function specific processes and/or areas.

· Has worked with internal and external teams and understands delivery requirements.

· Demonstrate excellent interpersonal skills; detail-oriented, sound judgement, and flexible.

· Demonstrate promptness, accuracy, and consistency with the activities supported.

· Demonstrate autonomy, take ownership, and drive tasks to closure.

· Strong time management, prioritization, organizational, and analytical skills.

· Good understanding of Avanade offerings and function specific services performed.

· General understanding of various resale business models.

· Very good understanding of commercial agreements, legal and compliance principles.

· Very good understanding of corporate business practices and contracting regulations.

· Comfortable with technology and has experience in the use of tools & databases.

· Ability to work under pressure, with exposure to senior leadership and effectively manage stakeholder expectations.
