PRIMARY PURPOSE:

Simon Property Group is seeking an experienced and dedicated Senior Counsel – Corporate & Transactional to join our dynamic legal team. The ideal candidate will have expertise in corporate law, finance, capital markets and real estate, with a strong understanding of the unique legal challenges and opportunities in the real estate and investment sectors. This role involves providing legal guidance on a broad range of corporate and financial matters, supporting strategic transactions, and ensuring compliance with regulatory requirements.

PRINCIPAL ROLE:  

The successful candidate’s responsibilities will include, but not be limited to:

  • Finance and Investment Matters:
    • Assist with structuring and negotiating legal documents in connection with financing, debt, equity and hybrid transactions.
    • Advise on equity investment structures and characteristics.
    • Review and analyze financial documents and agreements.
  • Partnership; M&A.
    • Provide legal support throughout transaction life cycle; manage due diligence, advise on structuring, negotiation and effectuation of closing and operational integration of joint ventures, partnerships, mergers, acquisitions and similar transactions.
    • Advise on domestic and international structuring issues.
  • Real Estate Transactions.
    • Provide legal support for real estate transactions, including acquisitions, dispositions, leasing, and development projects.
    • Oversee due diligence and manage legal risks associated with real estate deals.
  • Legal Risk Management:
    • Identify potential legal risks and develop strategies to mitigate them.
    • Handle legal disputes, litigation, and regulatory investigations as needed.

PREFERRED QUALIFICATIONS:

  • JD Degree from an accredited law school and be admitted to practice in one or more states (Indiana not required).
  • Minimum of 5 - 7 years of experience.
  • Strong knowledge of financial and commercial transactions, corporate governance and real estate transactions.
  • Familiarity with tax, accounting and financial reporting preferred.
  • Understanding of corporate governance and compliance matters (e.g., strong familiarity with documents such as bylaws, resolutions, consents and meeting minutes).
  • Excellent negotiation, drafting, and analytical skills.
  • Proven ability to manage multiple projects and prioritize effectively.
  • Strong interpersonal and communication skills, with the ability to work collaboratively with internal teams and external stakeholders.
