Role Overview

The Transactional Risk Leader is responsible for building, leading, and scaling HUB’s transactional risk practice, with primary focus on Representations & Warranties Insurance (RWI), Tax Insurance, Contingent Liability Insurance, and related deal-driven risk transfer solutions. This role combines market leadership, client advisory excellence, team development, and practice growth, serving as a trusted advisor to private equity sponsors, corporates, deal professionals, and legal counsel across complex M&A transactions.

The role is both externally facing (clients, carriers, law firms, bankers) and internally strategic, driving consistency, innovation, and thought leadership across HUB’s Transactional Risk platform.

Key Responsibilities

Client & Deal Advisory

  • Serve as senior advisor on complex M&A and structured transaction risks, including:
    • Representations & Warranties Insurance (buy-side and sell-side)
    • Tax Indemnity Insurance
    • Contingent Litigation, Judgment Preservation, and other bespoke transactional solutions
  • Partner directly with private equity sponsors, corporate development teams, CFOs, and deal counsel throughout the transaction lifecycle
  • Lead structuring discussions on risk allocation, indemnity alternatives, escrow reductions, and no-seller-indemnity (NSI) transactions
  • Provide strategic guidance on diligence expectations, underwriting positioning, and claims considerations

Practice Leadership & Growth

  • Build and execute HUB’s transactional risk growth strategy across regions and industry verticals
  • Drive revenue growth, new client acquisition, and expanded penetration within existing HUB relationships
  • Partner with HUB commercial, specialty, and industry practices to embed transactional risk solutions into broader client strategies
  • Support complex cross-border and multi-product deal placements

Carrier & Market Leadership

  • Maintain senior relationships with global transactional risk insurers and underwriters
  • Negotiate market-leading terms, pricing, and structures for clients
  • Monitor market capacity, pricing trends, exclusions, and underwriting evolution
  • Serve as a market liaison to influence product development and underwriting innovation

Team Development & Talent Leadership

  • Recruit, mentor, and develop transactional risk professionals across HUB
  • Establish best practices for deal execution, underwriting submissions, and client advisory
  • Support training and upskilling for producers and coverage specialists
  • Act as a senior escalation point for complex deals and coverage issues

Thought Leadership & Brand Visibility

  • Represent HUB as a recognized thought leader in the transactional risk marketplace
  • Contribute to white papers, market updates, webinars, and conference presentations
  • Enhance HUB ProEx brand visibility through content creation, speaking engagements, and strategic partnerships
  • Collaborate on development of HUB tools, playbooks, and proprietary analytics

Qualifications & Experience

  • 10+ years of experience in transactional risk, M&A insurance, or related advisory roles
  • Deep expertise in RWI underwriting, deal structuring, and policy negotiation
  • Strong understanding of private equity deal dynamics and M&A documentation
  • Established relationships with insurers, law firms, investment banks, and sponsors
  • Proven ability to lead teams, influence senior stakeholders, and grow complex practices
  • Exceptional communication, executive presence, and commercial judgment

Disclosure required under applicable law in California, Colorado, Illinois, Maryland, Minnesota, New York, New Jersey, Ohio, and Washington states: The expected salary range for this position is $350,000- $500,000 and will be impacted by factors such as the successful candidate’s skills, experience and working location, as well as the specific position’s business line, scope and level.
