The Global Ethics and Compliance Management team is responsible for developing and promulgating the standards pursuant to which The Walt Disney Company and its affiliated entities do business, developing and implementing anti-corruption policies and procedures, trade compliance and training Company employees regarding the Standards of Business Conduct, and anti-corruption.
The Counsel/Attorney for North Asia (Mainland China, Hong Kong, Taiwan, South Korea and Japan) will support, and report to, the Compliance Principal Counsel for North Asia in administering the Company’s compliance program, provide training, provide legal advice and counsel regarding global anti-corruption and trade control laws, assist in performing anti-corruption and trade compliance risk assessments, and help oversee anti-corruption and trade compliance diligence and monitoring regimes.
Responsibilities
Advice and Counsel
- Provide practical, timely and business-sensitive advice to colleagues on practical applications of the Standards of Business Conduct, Disney policies on anti-corruption, trade compliance and whistleblowing, and ethics and compliance law generally.
- Provide compliance counsel regarding gifts, entertainment, and hospitality.
- Assist to provide counsel regarding enhancements to the Company’s compliance efforts.
- Conduct periodic risk assessment and monitoring of ethics and compliance risks in a variety of businesses and jurisdictions in North Asia.
- Collaborate with various business and legal stakeholders to support assigned business lines.
- Monitor legal, regulatory and best practice developments in ethics and compliance in North Asia, assessing the potential impact for stakeholders and the business.
- Assist and support response to risk issues identified in the course of business, including (where appropriate) in conduct of internal investigations
- Prepare and disseminate periodic data analysis and reporting on ethics and compliance processes in North Asia.
Research and Due Diligence
- Performing due diligence regarding third parties, potential joint-ventures, and acquisitions.
- Tracking due diligence, training, contracts, and approvals of third parties.
- Managing various legal research platforms and other systems to conduct due diligence.
Training and Awareness
- Providing training to Company employees, and others, regarding the Standards of Business Conduct, anti-corruption, and trade.
- Preparing communications on ethics and compliance issues for internal (employees and cast members) and external (vendors, joint venture partners) audiences.
Other
- Collaborate with cross functional teams including Public Policy, Human Resources, Government Relations, Internal Audit, Global Security, etc.
- Travel domestically and internationally as needed.
- Undertake special projects and other compliance related initiatives as needed.
The Experience we Require from You
- Significant experience of advising or engaging with multinational corporations or other complex organizations on legal, ethics, and compliance matters.
- Demonstrated experience in anti-corruption, trade laws, whistleblowing, etc.
- Demonstrated ability to deliver training and outreach to colleagues from a variety of professional, linguistic and cultural backgrounds.
- Ability to triage and manage complex workloads with a variety of deadlines and clients.
- Significant presentation and communications experience.
Education
- Law degree from an accredited law school. Admission to Bar or qualified to be admitted as Registered In-House Counsel.
The following attributes will be highly regarded:
- Ability to read, speak and draft documents in one or more languages other than English in North Asia, viz., Chinese, Korean or Japanese.
- Familiarity with issues around anti-corruption laws, trade laws, disciplinary processes, internal investigations, etc. in North Asia.
