Job Purpose

The role facilitates M&A initiatives across the enterprise.  Incumbent must leverage strong business acumen, HR knowledge and an ability to navigate matrix resources to facilitate the completion of M&A transactions (including due diligence, integration planning & execution).  During periods of light M&A, the position incumbent will assist with special projects and process improvement efforts to facilitate the achievement of short- and long-term People Organization priorities.  

Primary Job Responsibilities

Mergers & Acquisitions 70%

  • In partnership with the Enterprise Business Development team, business leaders and People Organization subject matter experts (representing benefits, compensation, etc.) facilitate prioritization, planning and execution of People Organization related activities related to deal valuation, diligence and integration planning. 

  • Assist in creating M&A plan including: defining people organization objectives (including synergy targets); people organization deal team and governance model; tactics to ensure completion of diligence and integration per the overall deal plan.

  • Establish a meeting and reporting cadence with the People Organization deal team to ensure facilitation of deal valuation, diligence and integration, including in-depth analysis of

    • benefits plans and programs;

    • compensation structures and plans;

    • employee demographic data;

    • employment policies / programs;

    • employment litigation

    • organization culture, etc.

  • Effectively communicate status of project plan (including identification of project risks and/or issues) to stakeholders

  • In partnership with deal team and People Organization assist in planning and delivering day 1 and beyond on-site communications and/or training related to the acquisition focusing on integrating, engaging, and retaining employees

  • Assist with postmortem meetings to identify lessons learned and process improvements to support future M&A transactions.

  • Lead efforts to build People Organization M&A capability including:

    • creating an M&A playbook with supporting tools and resources

    • coaching / mentoring People Business Partners and People Organization COE SMEs involved in M&A transactions

    • delivering M&A brown bag learning sessions, etc.

Special Projects & Process Improvement 30%

  • Assist with special projects and process improvement efforts, as assigned, to facilitate the achievement of short- and long-term People Organization priorities

  • Other projects and assignments may result and be assigned to accommodate the changing needs of the department and the company. 

Required Experience, Skills, and Knowledge

  • Minimum of 5 years of HR experience, including 

    • Prior mergers and acquisitions experience – min of two years or involvement in four or more transactions 

    • Prior experience as an HR business partner, compensation and/or benefits specialist  

  • Strong communications and strong presentation skills: demonstrated experience developing and presenting (verbally and written) M&A and transformation plans and status reports to executive audiences 

  • Bachelor’s Degree, preferably in HR or similar field. 

  • Demonstrated minimum of 3 years project/program management experience 

  • Individual must possess the confidence to respond quickly in unfamiliar situations and rely on both data as well as judgment to help navigate the fast moving M&A environment. Strong customer service skills. 

  • Have the ability to perform in an ambiguous environment and make decisions in short timeframes. 

  • Strong MS Office skills 

Preferred Experience, Skills, and Knowledge

  • Expertise in acquisitions, joint ventures, divestitures, recruiting, HR generalist, and or compensation/stock programs preferred.

  • Master’s Degree or MBA preferred

  • Completion of formal change leadership training.
