About the Role

• Assist in providing legal services and monitoring of regulatory developments/updates and keeping the entities concerned well informed.
• Assist the Corporate Secretary in terms of managing the meetings and preparation of the minutes of the various management committees, Board and Committee meetings as well as act as Asst. Corporate Secretary for the Medicard and affiliates

Roles and Responsibilities:

Performs any or all of the following in various degrees according to the position’s job level:

  • Prepares legal advice and opinion to complex issues and concerns after careful research as may be assigned from time to time
  • Acts as legal counsel for Medicard and any of its affiliates in hearings before the courts as well as in quasi-judicial bodies and other administrative agencies such as the Office of the Insurance Commissioner, the National Labor Relations Commission/Labor Arbiter, Department of Trade and Industry, Securities and Exchange Commission, National Privacy Commission, etc.;
  • Review significant local and foreign proposals or agreements and other complex legal documents of Medicard and its affiliates as may be assigned from time to time;
  • Monitor regulatory and legislative changes and immediately update the Chief Legal Officer and thereafter release to the key functional units.
  • Assists the Corporate Secretary in satisfying all the corporate secretarial and housekeeping requirements of all Medicard  and affiliates.
  • Attends meetings of the Stockholders, Board Of Directors and standing committees of the Medicard and affiliates as required.
  • Prepare meeting minutes, Board resolutions, Secretary’s Certificates as may be required in the conduct of the Medicard and affiliate companies’ business.
  • Files, monitors and ensures compliance with all statutory, documentary, and reportorial requirements of the Securities and Exchange Commission (SEC), Insurance Commission (IC), and other regulatory bodies, as may be deem necessary. Liaises with various regulatory bodies regarding their statutory, documentary and reportorial requirements.
  • Oversight over the ACGR, Annual Report, ESG Report Governance portion and IC Mandated Training;
  • Performs other responsibilities and duties periodically assigned by the Chief Legal Officer and Corporate Secretary in order to meet the operational and/or other requirements

Minimum Job Requirements:

  • Education – Bachelor of Laws
  • Experience – Must at least possess legal, administrative or finance and accounting background;
  • Certifications/licenses – A member of the Integrated Bar of the Philippines (preferably a Notary Public or willing to apply);
  • Special skills - Computer literate, with good oral and written communication skills; Hardworking, conscientious and punctual.
