We’re currently looking for a high caliber professional to join our team as Officer -Corporate Secretarial - C10 - Mumbai - Hybrid (Internal Job Title: Officer- C10) based in Mumbai. The successful incumbent will be working closely with the Citi India Company Secretary team and expected to handle the following key responsibilities to provide high quality, professional company secretarial support for the India legal entities as well as supporting the Asia South Corporate governance outsourcing related function:

In this role, you’re expected to:

  • Provide corporate secretariat support to secretariat team, including liaison with various stakeholders and other administrative work.

  • Assist in statutory compliance for Citi India subsidiaries related to Companies Act, 2013, RBI Regulations and SEBI LODR.
  • To comply with the requirement related to issuance of debentures and regulatory filings.
  • Provide assistance in handling board/committee meetings, prepare meeting materials and taking minutes at meetings.
  • Track legal / regulatory changes and update the team if applicable to any of the Citi entity.
  • Citi internal compliances viz., regional approval for outside directors, Power of Attorney, regulatory updates on website.
  • Provide support to internal as well statutory auditors (including RBI auditors) of the company.
  • Maintaining of secretarial database, statutory registers and other documents relating to secretarial work.
  • Maintain proper documentation of corporate governance activities and processes.
  • Ensuring compliance with relevant statutory and regulatory requirements including necessary filings with the regulators.
  • Monitoring the effectiveness and appropriateness of the corporate governance framework of each legal entity.
  • Undertaking ad hoc projects as and when assigned.
  • Preparing Powers of Attorney.

As a successful candidate, you’d ideally have the following skills and exposure:

  • A recognized territory education i.e. CS certificate from the Institute of Company Secretaries of India (ICSI).
  • 4 years of PQE in relevant corporate secretarial experience in the banking or finance industry.
  • Ability to multi-task and function effectively in a dynamic environment.
  • Strong knowledge and understanding of the corporate secretariat work and corporate governance principle.
  • Strong knowledge of relevant regulations and directive of financial institutions would be an advantage.
  • Meticulous with good organizational and time management skills.
  • Proficient in Microsoft Office suite of tools.
  • A team worker with ability to work independently.
  • Excellent written and spoken communication skills in English.
  • Good rapport building skills, accuracy, attention to details, flexibility and the ability to prioritize work.


Qualifications:

  • at least 4-5 years of post-qualification relevant experience
  • Experience working in corporate legal department, law firm, financial services, consulting, technology firm or related industry
  • Must have effective organizational skills, attention to detail, exceptional verbal communication and listening skills
  • Knowledge of legal customs and practices
  • Project management skills
  • Knowledge and understanding of the financial services industry
  • Accuracy and attention to detail essential
