Job Description
Accenture, coined by Bloomberg as “World’s most acquisitive firm”, is seeking a highly qualified professional to join the North America Corporate Development (Corp Dev) team as a Financial Due Diligence (FDD) Specialist. The Corp Dev team is responsible for identifying and executing inorganic growth opportunities that advance the Firm's strategic objectives. This team works with Senior Leadership directly accountable for the acquisition to execute transactions and to integrate the acquired company into the Accenture ecosystem.

In this role, you will provide financial due diligence for acquisitions, joint venture and equity investments within Accenture’s Corporate Development team. Responsibilities of this role include analyzing the quality of target company earnings, operating metrics, debt and debt-like items and net working capital, which may influence the outcome of the transaction. You will work closely with other operational diligence workstreams (HR, Legal, Tax, etc.) and present key diligence findings to deal-stakeholders, including members of Accenture Leadership. Additionally, you will provide advice to the Corporate Development Deal-Execution team related to purchase agreements and deal negotiation points, ensuring Accenture’s economics interests are protected. After transaction close, you will provide continuity/transition to the post-merger integration and operational finance teams post-closing. Other responsibilities of this position could potentially range from supporting the identification of potential targets for acquisition through market research, supporting deal structuring, coordination of due diligence, and negotiations of purchase agreements using expertise in the development of business cases, valuations, and investment scenario modeling. Further, in integration, this role drives mobilization of all front and back-office teams, establishes the governance framework, and works with Senior Leadership to design the integration model for the initial integration of Accenture’s acquired firms.
Responsibilities:
Responsibilities of the Corporate Development Specialist position include but are not limited to
Pre-LOI evaluation and summarization of M&A prospect information discovered through marketing materials, public filings, meetings & calls, and various other sources.
Analyze the quality of Target Company earnings, operating metrics, debt and debt-like items and net working capital.
Analyze the historical and forecasted income statement and balance sheet, customer information, key performance indicators and other information as available.
Develop agendas for Management meetings, conduct meetings with Target Company management, and follow-ups with action items.
Present in Management Meetings with Target Company Management, and Internal Due-Diligence Roundtables with key deal stakeholders, including members of Accenture Leadership.
Compilation of summary materials for internal management and Investment Committee approval
Support transaction closing process, including review and analysis of the Flow of Funds, Purchase Agreement, and Closing Balance Sheet.
Support purchase agreement negotiations, including net working capital, indebtedness, and other finance-related items.
Support purchase price adjustment true-up process.
Participate in the development of Intellectual Property, including lessons learned, best practices, briefing decks, and templates.
Work and collaborate across various workstreams at Accenture including deal execution, post-merger integration, legal, tax and human resources throughout the diligence process.

This role requires flexible work hours as it is supporting North American Deals with the potential to work on global deals. The Specialist position requires moderate levels of travel.
Here's what you need:
Bachelor’s Degree
Minimum 2 years experience with a large public accounting firm focusing in audit, accounting or financial due diligence capacity or similar background at a major corporation (Fortune 500)

Strong program management skills
Excellent analytical, writing, and verbal skills

Compensation at Accenture varies depending on a wide array of factors, which may include but are not limited to the specific office location, role, skill set, and level of experience. As required by local law, Accenture provides a reasonable range of compensation for roles that may be hired in California, Colorado, District of Columbia, Maryland, New York or Washington as set forth below.
