About the Role

This role is responsible for implementing, directing and managing legal and corporate governance related tasks to ensure full legal compliance with regulatory requirements and AIA’s relevant requirements, accurately and in a timely manner prepare various corporate resolutions, directly communicate and maintain relationships with major governmantal and regulatory authorities, and also contribute to AMC’s wider decision-making processes and provide support to the Project Yulan.

Roles and Responsibilities:

  • ​Provide leadership, management and vision necessary to the successful operation of future IAMC since its kick-off stage.
  • Responsible for the design of future IAMC’s corporate legal affairs, corporate governance and regulatory affairs management frameworks in alignment with CBIRC and AIA group’s relevant requirements.
  • Design and lead future IAMC’s board operation framework to meet both regulatory and Group requirements.
  • Manage legal risk by ensuring that contracts reflect best practice and building an appropriate framework for legal risk management processes.
  • Liaison and communication with the AIA Investment Legal Centre of Excellence located in Singapore with respect to specialist support and legal risk management for legal documentation related to investment transactions (including traditional and non-traditional assets), collateral, clearing, repos, securities lending and custody all within the AIA IGF.
  • Responsible for the legal review of the transaction structures of alternative asset classes invested to minimum legal risk and contribute to decision-making process.
  • Provide legal support including provide solutions and legal opinions for the internal decision-making and main investment activities.
  • Responsible for maintaining good relationships with external lawyers and the verification of selection, involvement and operation of competent external lawyers.
  • Support to develop and implement regulatory affairs strategy that encourages a favorable position for both AIA and future IAMC.
  • Work with key stakeholders to deal with  China regulatory and government affairs.
  • Communicate and support relationships with governmental and regulatory authorities especially on insurance fund investment and insurance asset management.
  • Responsible for the implementation and improvement of connected transaction management to mitigate key risks and ensure all local regulatory and Group requirements are met.
  • Actively contribute to business planning activities with a focus on the principles of continuous improvement in corporate governance.
  • Track key regulatory and legislative developments and communicate issues to senior management team and key stakeholder groups, maintain good knowledge of the local regulatory environment, and collaborate to translate regulatory requirements into pragmatic and strategic strategies and plans.
  • Other tasks designated by CIO.

Minimum Job Requirements:

  • 50% internal – AMC/IAMC, Board, AIA Life, Group Investment, etc.
  • 50% external – Regulators, Government Authorities, Law firms, Investing Companies’ managements, etc.
  • The most important communication would be facilitate, coordinate, and align among board, senior management team, group investment, as well as regulators and government authorities
  • Master’s degree or above in Law, Business, Finance, Economics or other relevant field and a bachelor’s degree in Law
  • MBA preferred
  • A minimum of 10 years of combined relevant experience of performing as a group or major corporate division’s most senior legal advisor, and having a strong knowledge of corporate governance. Insurance assets or investment management companies experience a plus.
  • In-depth knowledge of local business standards, best practices, external regulations and legal risk management, with a special focus on insurance fund investment or invesetment management industry
  • Have related experience in communicating with regulators
  • Have a proven track record of providing strategic advice to businesses and leading/managing teams – with a particular focus on managing regulatory affairs
  • Strong leadership and mentor skill with good understanding of risk management
  • Demonstrate a capability to stimulate new and innovative thinking and act as an advocate for change, supporting the team and wider organisation in consolidating towards a compliant, effective and efficient operating model
  • Accountable, efficient, focus, detail oriented, and able to work under pressure
  • Excellent facilitation and coaching skills, and great team player
  • Proficiency in spoken and written English in order to effectively communicate with multiple stakeholders
  • Proficiency in MS Office
