Amentum, a global engineering, project management and solution integrations company, is seeking a highly skilled SVP, Deputy General Counsel, Securities and Governance to join its legal team. This position offers an exciting opportunity to provide strategic legal counsel on securities law matters, corporate governance, and regulatory compliance for a publicly traded company operating in a highly regulated environment. 

Position Overview

The SVP, Deputy General Counsel, Securities and Governance will play a critical role in ensuring compliance with U.S. securities laws, supporting corporate governance initiatives, and advising on SEC filings and disclosures.  This position requires deep expertise in securities regulations, strong corporate governance knowledge, and the ability to work cross-functionally with executives, finance, compliance, and investor relations teams. 

Key Responsibilities

Securities & SEC Compliance: 

  • Oversee and ensure compliance with SEC regulations, NYSE/Nasdaq listing requirements, and other applicable securities laws. 
  • Prepare and review periodic SEC filings, including 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports (Forms 3, 4, 5). 
  • Provide legal guidance on disclosure issues, earnings releases, investor presentations, and press releases. 
  • Monitor regulatory developments and assess their impact on company operations and disclosure practices. 
  • Support M&A, financing transactions, and other corporate initiatives from a securities law perspective. 
  • Work with external counsel on securities and governance matters as needed. 

Corporate Governance Duties: 

  • Ensure compliance with corporate governance best practices, NYSE/Nasdaq listing standards, and SEC governance requirements. 
  • Manage the preparation and filing of the annual proxy statement and support shareholder meeting logistics. 
  • Advise on board governance matters, including director independence, executive compensation disclosures, and governance and sustainability reporting. 
  • Oversee the maintenance of corporate records, subsidiary management, and corporate entity filings. 
  • Support shareholder engagement efforts, including preparing responses to shareholder proposals and advising on investor relations matters. 
  • Assist in developing and maintaining corporate policies, including insider trading policies, ethics codes, and whistleblower procedures. 

Qualifications & Experience

  • J.D. from an accredited law school and active bar membership. 
  • 15+ years of legal experience, with a focus on securities law, corporate governance, and compliance. 
  • Requires the ability to obtain/maintain a security clearance.
  • Prior experience at a top law firm and/or in-house at a publicly traded company (preferably in the aerospace, technology, defense, or government services industry). 
  • Deep knowledge of Securities Act of 1933, Exchange Act of 1934, Sarbanes-Oxley Act, and Dodd-Frank Act. 
  • Experience handling corporate governance matters. Board support and SEC disclosure requirements. 
  • Familiarity with defense industry regulations, government contracting compliance, and CFIUS considerations is a plus. 
  • M&A experience is a plus.
  • Exceptional written and verbal communication skills, with the ability to interact effectively with senior leadership and the board of directors. 
  • Strong attention to detail, analytical skills, and ability to manage multiple priorities in a fast-paced environment. 

Location: Hybrid or in-office in the Herndon, VA area.
