NGM is seeking an exceptional Clinical Contracts Manager to join its team. This role requires in depth knowledge of core contracting skills including the ability to (i) read contracts with comprehension, (ii)  communicate well to perform due diligence research about the subject matter with colleagues, to understand business needs, precedence and assess risk tolerance and (iii) command of English language writing skills to review and edit contracts  for written and verbal negotiations with 3rd parties.  This role will also require extensive collaboration with team members including the with NGM clinical teams, management of a personal queue of contracts, and management of the legal database request entries including entry of contract data points for record keeping purposes. The ideal candidate understands biopharmaceutical drug development and clinical research processes. The candidate must be outgoing and collaborative and be enthusiastic about participating in the legal and relational infrastructure required to support innovative clinical research, clinical trials, and manufacturing. Additionally, candidates for this role must have an above-average aptitude and profound respect for Database Management. The level of this role will be commensurate with previous work experience and expertise.

Responsibilities

  • Managing the contracting process from the initial contract request through full execution. This requires an understanding of risk mitigation methodology, risk analysis for contracts review and negotiation, and best practices for business contracts
  • Leading and contributing to contract negotiations; preparing for discussions based on best solutions and desired outcomes, and determining the minimum requirements for acceptance based on Company’s legal guidelines
  • Drafting original contracts and template agreements related to clinical trials and associated services
  • Drafting and reviewing agreements including, but not limited to: Confidentiality, Consulting Services, Clinical Trial related, CRO services, Master Services, and Work Orders and Amendments/Change Orders    
  • Communicating effectively with contract research organizations (CROs) and contract manufacturing organizations (CMOs) and other vendors to manage services and budget changes in the provision of services on Company’s behalf
  • Tracking in-progress agreements and follow up with vendors for status
  • Acting as the primary contact between the project team and/or business unit and the external party, ensuring that all contractual matters are addressed efficiently and promptly
  • Ensuring timely response to complex inquiries regarding contract obligations and revisions
  • Escalating and delegating to appropriate teammates in a timely and thoughtful way
  • Communicating effectively with the internal customers to escalate matters as appropriate for expert review
  • Developing strong working relationships with functional groups and project teams
  • Managing a queue of assigned contracts in the electronic contracts management database system, working as a System Administrator to support NGM’s on-premise contracts management database
  • Ensuring data integrity, and that the data fields and status in the system are updated in real time, based on contract negotiations and status change activity
  • Special projects and miscellaneous tasks as business needs dictate

Required Experience:

  • Substantive experience in the contracts management field (preferably in a pharmaceutical environment performing contracts management duties)
  • Prior experience with autonomous contract drafting and negotiation
  • The personality and ability to perform due diligence research with enthusiasm
  • The ability to apply critical thinking and analysis as it relates to contracts matters
  • Proficiency with the Microsoft Office suite (Word, Excel, PowerPoint)
  • Excellent written and verbal communication skills; ability to work effectively and efficiently with all levels of management and personnel
  • Ability to quickly comprehend, prioritize and manage business contracts and other complex documents in a short timeframe
  • Project Management skills, specifically strong organizational and planning skills, meticulous attention to detail, ability to manage changing priorities and workflow, and the ability to effectively advance multiple simultaneous projects
  • Ability to work independently while exercising initiative and good judgment

At the time of posting, the wage range for this role at the Contract Manager level is $135,000-$175,000 for candidates located in the Bay Area.
