Summary of the Position:
The Senior Director will be primarily responsible for providing strategic and commercially focused legal advice and support related to Tishman Speyer’s United States portfolio, including new transactions. The Senior Director will work with the regional offices across all business functions providing analysis, advice, transaction leadership and support. They will be experienced at handling all aspects of property acquisitions and dispositions, joint ventures, development transactions (from letter of intent to closing) and financings. They will also review, negotiate and draft asset level agreements. This position will be an integral part of the “deal making” process where business sense will be as important as legal acumen. This role will report directly to the Managing Director.
Key Responsibilities:
Work in concert with the MD and senior business unit leaders across various regions and business lines to achieve key business objectives and support the company’s portfolio of real estate assets, investments, and development projects in various asset classes.
Draft, negotiate, manage, and oversee transactions concerning joint venture agreements, loan documents, purchase and sale agreements, separate managed accounts and investment funds relating to multiple business lines; effectively interact with investors and internal/external business partners.
Support and collaborate with an internal and external multi-disciplinary team of acquisitions, development, design, construction, and finance professionals to effectively manage transactions towards timely successful completion.
Collaborate with and advise internal business units with respect to all project level documents and ensure agreements are compliant with the Company’s joint venture and loan obligations.
Assist in the administration of contracts and instituting compliance measures in accordance with company policies and legal requirements.
Assist and support the regional business teams in negotiating and managing legal documents for an assigned portfolio of assets, new business lines/assets, as well as development projects, including legal documents in entitlement processes across multiple jurisdictions.
Interpret the requirements of governmental agencies, laws, statutes, rules, regulations, and court decisions affecting the business and/or its assets in multiple jurisdictions; advise on new legislative and regulatory requirements and recommend changes to policies, processes, and operations as appropriate.
Oversee, direct, and manage teams of external counsel on various legal matters.
Assist in establishing, refining and maintaining internal legal processes and procedures to support efficient management of a national portfolio of diverse real estate assets.
Assist in the scaling of the Company’s continued growth.
Assist with all other duties and projects as directed by the General Counsel.
Skills & Qualifications:
7+ years of relevant law firm and/or in-house real estate experience.
Demonstrated track record of successfully managing complex real estate transactions to completion.
Business minded strategic thinker with the ability to convey complex legal principals clearly and concisely.
Strong planning and organizational skills with the ability to execute to meet deadlines; attention to detail is critical with an eye towards the larger team/company goals.
Ability to make decisions and operate independently with respect to complex real estate transactions, including analyzing complicated issues and assessing risks.
Excellent verbal/written communication and presentation skills.
“Can-do” attitude and willingness to take ownership and responsibility for all assignments from inception to completion.
Ability to work autonomously and as a team player in a highly collaborative institutional yet fast-paced setting.
Creative legal solutions for business teams concerning a multitude of transactions and new business.
Ability to effectively prioritize competing projects, manage deadlines, reminders and follow-ups with a dedication to task and overall project completion.
Skilled at performing with the highest level of discretion, professionalism, and integrity.
Bachelor’s degree, JD from accredited law school, admission to a state bar (in good standing) required.
