GENERAL FUNCTION:

Represent Fifth Third Bancorp and affiliates in a specific area of law that may include: Consumer, Wholesale, WAM, Payments, Employment or Litigation, Corporate Law, Infrastructure Securities and M&A. Acts as lead in house counsel to senior management, department leaders, human resources, etc. regarding a variety of highly complex legal matters.

Responsible and accountable for risk by openly exchanging ideas and opinions, elevating concerns, and personally following policies and procedures as defined. Accountable for always doing the right thing for customers and colleagues ,and ensures that actions and behaviors drive a positive customer experience. While operating within the Bank's risk appetite, achieves results by consistently identifying, assessing, managing, monitoring, and reporting risks of all types.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Provide legal guidance and counsel to specific department, division, line of business, etc. Works with representatives from various departments on developing /modifying policies and procedures where necessary. Perform all necessary legal research for area of responsibility.
  • Receive complaints and distribute them to either in-house counsel or assign cases to appropriate outside counsel. Coordinate litigation list input and status updates. Acts as a liaison with outside law firms.
  • Maintain an up to date awareness of all new and changing laws and legislation to protect the Bancorp from potential litigation.
  • Manage all legal issues and litigation for a specific area of responsibility.
  • Oversee preparation, filing and tracking of all legal documents and proceedings.
  • File all necessary legal/regulatory applications on behalf of Fifth Third Bank.
  • Assist in the negotiation and closing of acquisition and disposition transactions.
  • Investigate or assist in the investigation of complaints or allegations against the bank.
  • Can manage department employees:
  • Manages the staffing, performance and salary administration for the group.
  • Allocates and reviews work, provides training, works with staff to set and achieve objectives, and guides and advises subordinates for individual development.
  • Motivates the employees in the area through decisions regarding pay, placement, and promotions.
  • Responsible for reviewing all contracts for various areas of the bank.
  • Proactive surveillance of regulatory changes to the environment
  • Interpretation of regulatory changes identified
  • Oversee and approve regulatory inventory
  • Ongoing guidance of the Interpretation for regulatory requirements and impacted changes.

SUPERVISORY RESPONSIBILITIES:

Responsible for providing employees timely, candid and constructive performance feedback; developing employees to their fullest potential and provide challenging opportunities that enhance employee career growth; developing the appropriate talent pool to ensure adequate bench strength and succession planning; recognizing and rewarding employees for accomplishments.

MINIMUM KNOWLEDGE, SKILLS AND ABILITIES REQUIRED:

  • Minimum 10 years experience preferred.
  • J.D. required.
  • Admission to a state bar.
  • Excellent interpersonal, negotiation, verbal and written communication and presentation skills.
  • Problem resolution and analytical skills and the ability to interact well with all organizational levels.
  • Previous leadership experience preferred or equivalent mentorship/management of project work.
  • Exposure to senior professionals, executive presence needed.
