The annual salary for this position will be $275,000 - $300,000 with 40% bonus eligibility. Exact compensation will vary based on experience.

Position Summary

The Deputy General Counsel is a senior legal leader responsible for overseeing critical legal functions across the enterprise, with a primary focus on corporate governance, entity management, intellectual property, legal operations, supplier relations, procurement/vendor contracting, mergers & acquisitions, real estate, and technology/innovation initiatives. This role serves as a strategic advisor to executive leadership and partners cross-functionally to support the company’s growth, operational excellence, and risk management in a highly regulated healthcare environment.

Key Responsibilities

Corporate Governance & Entity Management

  • Oversee corporate governance frameworks and governance best practices.
  • Manage global entity structure, including formation, maintenance, compliance, and rationalization of legal entities.
  • Ensure compliance with applicable laws, regulations, and internal governance standards.

Intellectual Property (IP)

  • Develop and execute IP strategy, including protection, enforcement, and monetization of company assets.
  • Oversee trademark, copyright, trade secret, and patent portfolios in collaboration with internal stakeholders and external counsel.
  • Advise on IP risks related to product development, technology, branding, and partnerships.

Legal Operations

  • Lead legal operations strategy, including process optimization, technology implementation, and outside counsel management.
  • Drive efficiencies through contract lifecycle management (CLM) systems and legal tech solutions.
  • Establish metrics, KPIs, and reporting frameworks to enhance legal service delivery.

Contracting & Supplier Relations

  • Oversee enterprise contracting function for vendor/procurement contracting and strategic supplier partnerships.
  • Provide legal support for supplier relations, procurement, and vendor risk management.
  • Develop and maintain standard templates, playbooks, and negotiation guidelines.

Procurement & Vendor Contracting

  • Partner with procurement teams to structure, review, and negotiate complex vendor and outsourcing agreements.
  • Ensure alignment with regulatory, compliance, and risk management requirements.
  • Support strategic sourcing initiatives and cost optimization efforts.

Mergers & Acquisitions (M&A)

  • Lead legal aspects of M&A transactions, including due diligence, structuring, negotiation, and integration.
  • Advise on joint ventures, strategic investments, and divestitures.
  • Coordinate with cross-functional teams to ensure seamless transaction execution and post-deal integration.

Real Estate

  • Oversee legal matters related to real estate, including leases, acquisitions, and dispositions.
  • Support expansion strategies and operational footprint optimization.

Technology & Innovation

  • Provide legal counsel for the Innovations business unit, including QSight, Resilience, Communities, data use, & AI.
  • Advise on technology licensing, SaaS agreements, cybersecurity, and data privacy considerations.
  • Partner with R&D, IT, and product teams to enable compliant innovation.

Leadership & Collaboration

  • Act as a trusted advisor to executive leadership on legal, regulatory, and business risks.
  • Lead, mentor, and develop a high-performing legal team.
  • Collaborate cross-functionally with compliance, finance, procurement, IT, and other relevant business units.
  • Manage external counsel and ensure cost-effective legal support.

Qualifications

Education & Experience

  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in good standing.
  • 20+ years of relevant legal experience, including in-house leadership roles within healthcare, distribution, or related industries.
  • Strong experience in corporate governance, M&A, contracting, and in highly regulated environments.

Skills & Competencies

  • Understanding of healthcare regulatory landscape (e.g., HIPAA, FDA, fraud and abuse laws).
  • Proven leadership and team management experience.
  • Strategic thinker with strong business acumen.
  • Exceptional negotiation, communication, and stakeholder management skills.
  • Experience with legal operations and technology tools.
