Position Overview:

The Proofpoint Legal Department is dedicated to providing expert legal advice in a fast-paced business and technical environment and supporting Proofpoint’s crucial mission of enabling organizations across the world to defend, protect, archive and govern their most sensitive data. This position will report to a Director, Legal in the department. The Sr. Contract Manager role is an important part of enhancing the culture and success of the legal function to help drive Proofpoint’s growth. 

Primary Responsibilities: 

  •  Provide first line/same day, substantive legal support for certain transactions (largely commercial matters regarding template or form contracts), including (i) the initial response to legal requests; (ii) the review and approval of certain in-bound purchase orders and contracts; and (iii) providing general guidance on legal policy and process to business partners. (~35%)
  • Draft, review, and negotiate a broad range of commercial, revenue-generating agreements, including SaaS, software, channel, and other service agreements with Fortune 1000 and Commercial customers (~30%)
  • Continuously enhance contract management processes and procedures (~10%)
  • Manage and administer the contract lifecycle and various legal or compliance processes (which may include leveraging legal technology solutions), including project management, document initiatives and reviews, approvals, indexing and organization of records and documents, filing, and data entry (~20%)
  • Proactively communicate issues back to legal teammates and help communicate good business, legal, and operational processes throughout the organization; drafting and implementing related policies; travel as requested (~5%)


The What:

Qualifications and Experience:

  • Experience with providing support to enterprise sales teams and experience with commercial transactions with Fortune 1000 companies preferred
  • 10+ years of experience as a Contract Manager and general experience in a broad range of legal and contract management issues
  • Sound knowledge and understanding of core principles of SaaS, Software, and Intellectual Property and/or licensing
  • Excellent interpersonal skills, including the ability to work with a variety of different clients and personalities
  • Strong drafting and negotiation skills with keen attention to detail and the ability to learn quickly
  • Effective communication in person, in groups, over email and in more formal documentation
  • Experience with developing and refining contract management processes preferred
  • Experience handling data privacy and security issues

Base Pay Ranges:

SF Bay Area, New York City Metro Area:

Base Pay Range: 116,690.00 - 183,370.00 USD

California (excludes SF Bay Area), Colorado, Connecticut, Illinois, Washington DC Metro, Maryland, Massachusetts, New Jersey, Texas, Washington, Virginia, and Alaska:

Base Pay Range: 96,880.00 - 152,240.00 USD

All other cities and states excluding those listed above:

Base Pay Range: 87,220.00 - 137,060.00 USD
