Your New Role

This position supports the day to day legal needs of the Office of the Corporate Secretary and general corporate governance and reporting activities associated with the board of directors of a global publicly-listed company.  This position has access to, and handles, highly sensitive and confidential information about the company and therefore, the person in this position must exercise good judgment and operate with discretion, tact and strict adherence to confidentiality.

Your Role Accountabilities

Manage materials and other aspects for meetings of the Board of Directors and its Committees with high degree of communication, organization and attention to detail.  Specific tasks include:

  • Collect materials for distribution to Board from company executives and post to online board portal (Diligent Board Books)

  • Prepare meeting agenda

  • Prepare resolutions, memoranda and other deliverables

  • Prepare skeleton meeting minutes

  • Circulate final meeting minutes and resolutions for signature

  • Maintain electronic minute books including summaries of Board and Committee actions

  • Track director meeting attendance

  • Coordinate with internal colleagues (Board Coordinator, audio visual team, Office of the CEO, etc.) as needed to prepare for and address needs of Board and Committee meetings.

  • Maintain complete, accurate and organized files and trackers related to corporate governance matters.

  • Manage Board compensation processes, including coordinating with other internal departments to verify that correct amounts are paid and complete and accurate records and documentation are kept.

  • Assist with production of proxy statement (including revising annual D&O questionnaire and reviewing submissions), annual report and sustainability report; Assist with annual stockholder meeting process.

Qualifications & Experience

  • At least 2 years’ experience as a corporate paralegal with a law firm or corporate legal department.

  • Corporate governance or board of directors experience at a publicly traded company is highly preferred.

  • Experience handling SEC/public company reporting or environmental, social, governance (ESG) reporting a plus.

  • College degree

  • Proficient with standard document creation and business communication software, such as Microsoft Office (Outlook, Word, Excel, PowerPoint), Adobe (Adobesign), Zoom, DocuSign, One Drive, Sharepoint, etc.

  • Experience with Diligent Board Books a plus

  • Experience with hcue a plus

  • Experience with EDGAR a plus

In compliance with local law, we are disclosing the compensation, or a range thereof, for roles in locations where legally required. Actual salaries will vary based on several factors, including but not limited to external market data, internal equity, location, skill set, experience, and/or performance. Base pay is just one component of Warner Bros. Discovery’s total compensation package for employees. Pay Range: $58,450.00 - $108,550.00 salary per year. Other rewards may include annual bonuses, short- and long-term incentives, and program-specific awards. In addition, Warner Bros. Discovery provides a variety of benefits to employees, including health insurance coverage, an employee wellness program, life and disability insurance, a retirement savings plan, paid holidays and sick time and vacation.
